The sole member of the corporation is the recreation vehicle industry association inc., an indiana nonprofit corporation.

Form 990, Part VI, Section A, Line 7A

Composition of the board of directors. The total number of directors of the corporation shall be not less than five nor more than eleven and shall consist of the following: (i)the first vice chairman of the board of directors of the member, the recreation vehicle industry association, inc.; (ii)the president of the member, the recreation vehicle industry association, inc.; and (iii)the remaining directors shall be appointed by the executive committee of the board of directors of the member, the recreation vehicle industry association, inc.

These bylaws may be altered, amended or repealed and new bylaws may be adopted by a majority of the directors present at any regular meeting or special meeting of the board of directors provided, however, that two-thirds of all directors must approve such modification, and any ratification or modification of the bylaws must also be approved by the member.

The form 990 is reviewed internally by management including the vp of finance as well as the executive vp followed by external review by the parent company's treasurer. The 990 is made available upon request.

Form 990, Part VI, Section B, Line 12C

The rv industry association continuously monitors and enforces its coi policy in part through its procurement policy and process. When new vendors are suggested by staff, a contract approval form must be submitted to the legal department as part of the approval process. The contract approval form requires the submitter to answer whether a potential conflict of interest exists and to explain the nature of such potential coi. If the submitter states there is a potential conflict of interest, the submitter is removed from the decision-making process and the legal and finance departments review the suggested vendor and services with the coi and recommend to the president regarding vendor selection for such services. Per the coi policy, the president has the final say in such matters (unless the coi involves the president, in which case it would be taken to the chairman of the board). In addition to this self-reporting process, we also have an anonymous hotline that staff can call to report any illegal or improper conduct, including conflict of interest issues. This hotline is monitored by hr. Any reporting of conflicts of interest whether self-reported or not - will involve legal and finance in the decision-making process and will report, with recommendations, to the president (or chairman, as applicable) as to consequences, if any, and any other determinations that need to be made.
