Governance Explanations

Form 990, Part VI, Section A, Line 3

Washington housing conservancy, inc. (whc) delegated management controls to federal city council (fcc). Fcc employed both executive directors during 2019. Compensation came from fcc and whc reimbursed fcc for those expenses. Kevin clinton, executive director through october 14, 2019, was compensated a base salary of $141,902. His deferred compensation totaled $6,993 and his nontaxable benefits totaled $15,277. Kimberly driggins, who is the current executive director, started october 14, 2019. During 2019, she was compensated a base salary of $62,083 with nontaxable benefits totaling $1,640.

Form 990, Part VI, Section B, Line 11B

The annual 990 return is prepared by the organizations auditors with the help of the director of finance. After review by the executive director, treasurer and board chair, it is distributed to the full board which has at least five business days to review it and provide comments. After approval by the full board of directors, it is submitted to the irs.

The conflict of interest policy and code of ethics is to be acknowledged annually by all directors, officers and senior staff of whc and each of its supporting corporations. If an individual has a conflict of interest or potential conflict of interest in connection with any transaction or matter pertaining to whc or any of its supporting corporations, he or she must immediately notify the executive director of whc or some other appropriate whc representative, and disclose all the material facts concerning the actual or potential conflict of interest and his or her relationship to the transaction or matter at issue. If the conflict of interest arises in connection with the activities of any deliberative body (e.g., the board of directors or any committee), the conflict must be disclosed to other members of the body and the individual may not participate in the consideration of the transaction or matter at issue.
