The organization's conflict of interest policy covers directors, principal officers, and members of a committee with board-delegated powers who have a direct or indirect financial interest that the appropriate governing committee deems a conflict of interest. In connection with any actual or possible conflict of interest, the interested person must disclose all material facts to the governing board. After disclosure of the financial interest and all material facts, the interested person shall leave the governing board meeting while the determination of a conflict of interest is discussed and voted upon. Each director, principal officer, and member of a committee with governing board-delegated powers shall annually sign a statement affirming that such person received a copy of the conflict of interest policy, has read and understands the policy, has agreed to comply with the policy, and understands the organization is charitable and, in order to maintain its federal tax exemption, it must engage primarily in activities that accomplish one or more of its tax-exempt purposes.

Form 990, Part VIII, Line 1A - Contributions and Grants

During the reporting year, the organization received $67,338 in unrestricted contributions that were originally intended to support a future fundraising event. The event has since been postponed indefinitely due to unforeseen circumstances. Because the funds are unrestricted and not conditional upon the event taking place, they are properly reported as contribution revenue rather than fundraising event income. No related expenses were incurred or reported during the year.
