Poultry & Egg Sustainability and Welfare Foundation Inc

“The foundation has two councils named the u.s. Roundtable for sustainable poultry and eggs council (u.s. Roundtable council) and the international poultry welfare alliance council (ipwa council). Except as otherwise provided in the foundation's articles of incorporation or the bylaws, the affairs of the foundation shall be controlled and managed by a board of trustees consisting of five (5) individuals elected or appointed by the voting members of the councils. The board of trustees shall have, in addition to the power and authority expressly conferred upon it by the bylaws, the power and authority to control and manage all the affairs and properties of the foundation, approve all contracts and purchases, provide for all expenditures, including paid personnel and otherwise administer the affairs of the foundation in such manner as may be necessary to carry out its objectives as set forth in its articles of incorporation. In addition, the board of trustees shall have the authority to set priorities for the executive director when and if the councils' priorities conflict and/or monetary funds are limited.”

“Prior to filing the form 990, each board member receives a copy of the form 990 for review to ensure that it is complete and accurate.”

“All members of the boards of directors for each of the three entities are required to sign the conflicts of interest policy. The poultry & egg sustainability and welfare foundation, inc., the u.s. Roundtable for sustainable poultry & eggs, and the international poultry welfare alliance are referred to as an "organization- and collectively as the "organizations". Any matter of question or interpretation that arises relating to the conflicts of interest policy should be referred to the chief executive officer of the organization for decision and/or for referral to the board for decision, where appropriate.”

“The board of trustees shall have the authority to evaluate the executive director's job performance, set compensation (salary and/or bonus) and terminate his/her employment.”

“Compensation is fixed by the board of trustees.”

“Covered tax documents are made available upon request to an individual who makes an in person request at the organization's principal office. Covered tax documents will also be made available on the foundation's website.”

“To foster the engagement, collaboration, and evaluation of current and emerging poultry sustanability and welfare concerns; to advance tangible sustainability outcomes through education, outreach and goal setting initiatives; to promote tangible welfare-based poultry and sustainability decisions and practices with evidence-based science and industry expertise; to support, educate and communicate continuous improvement in sustainability of poultry and advance animal welfare knowledge through leadership, innovation, multi-stakeholder engagement.”
