Governance Explanations

Form 990, Part VI, Section A, Line 4

On March 24, 2025, the organization legally changed its name from Black Female Project to Qualitative Solutions. The name change was authorized by the Board of Directors and approved through an amendment to the organizations Articles of Incorporation, filed with and accepted by the State of California. A copy of the approved amendment is attached to this return

Form 990, Part VI, Section B, Line 11B

Organization's leadership will work with the accounting firm and finance team to complete the annual 990 documents. Once completed, the documents will be presented to the Board at a scheduled Board meeting or a Special Board meeting called by the President or another Board member. The Board review the documents and have time to ask questions, then vote on accepting the 990. Once approved by the Board, the 990 documents can be filed. If the 990 needs to be filed prior to the next Board meeting, it can be filed after review of the Board President and notated that the Board has not approved the 990 at that time. Once approved by the Board, the date and process shall be documented in official Board minutes.

Annual review of COI policy. Annual collection of COI forms to list any conflicts of interest. Board members are to provide notice and abstain from voting on any items that may have a conflict of interest.

The Executive Director/CEO compensation determination started with survey data pulled by a Human Resources consultant from reliable public data sources. The information pulled included data on a range of like positions (Executive Director/CEO) of like organizations (geographic area, types of services, similar size, budget and/or scope). The information was presented at a meeting of Board members without the Executive Director/CEO to review the data and discuss. The compensation range was set. A second meeting was held to further discuss the role and responsibilities of the Executive Director/CEO and to approve the actual annual compensation within the approved salary range. The annual salary review is scheduled for the third quarter meeting of the year.

Once completed, the documents will be presented to the Board at a scheduled Board meeting or a Special Board meeting called by the President or another Board member. If the 990 needs to be filed prior to the next Board meeting, it can be filed after review of the Board President and notated that the Board has not approved the 990 at that time.
