Governance Explanations

Form 990, Part VI, Section A, Line 6

Membership classes: all members agree to comply with the association's code of ethics, see exhibit c (page 19). The association's code of ethics will serve as a determination for both new membership and continued membership. The council shall have six (6) classes of members, as follows: (a) class a members: the council shall have a class of members that shall be referred to as the "class a members." the class a members include the concrete masonry manufacturers in the state of arizona that have committed to participate in and to contribute to the council based on a self-imposed, voluntary assessment on each eligible concrete masonry unit sold by the manufacturer, with such commitment to be in the manner and form as determined by the board in its sole and absolute discretion and been expressly admitted by the board, see exhibit b for voluntary assessment information. Class a members will agree to pay a fixed amount of annual dues to the council. The board, as determined at the reasonable discretion of the council, shall establish the dues to be paid by the class a members, which shall be paid on a yearly basis. The initial class a members shall be listed in exhibit a (which may be updated from time to time by the executive director without formal amendment to these bylaws). Throughout the life of the council, however, the number of class a members may: (1) expand if additional concrete masonry manufacturers meet the qualifications listed above in this section 4.1(a); or (2) contract, if a class a member elects to terminate their membership status by discontinuing their voluntary contributions to the council. (b) class b members: the council shall have a separate class of members that shall be referred to as the "class b members." membership in this class shall be open to all private and public businesses or individuals in arizona representing a firm or corporation regularly engaged in the business of masonry contracting and lawfully employing skilled mechanics of the trade. Class b members must be licensed, registered, and in good standing with the arizona registrar of contractors. Class b members will agree to pay a fixed amount of annual dues to the council. The board, as determined in the reasonable discretion of the council, shall establish the dues to be paid by the class b members, which shall be paid on a yearly basis. (c) class c members: the council shall have a separate class of members that shall be referred to as the "class c members." membership in this class shall be open to all private and public businesses or individuals in arizona manufacturing and/or selling cement to the masonry industry. Class c members will agree to pay an approved amount of annual dues to the council. There will be three different divisions for class c members: cement & ready mix, cement only, and ready-mix only. The board, as determined at the reasonable discretion of the council, shall establish the dues to be paid by the class c members, which shall be paid on a yearly basis. Only two of these divisions can run for a seat on the board of directors, these two are cement & ready mix and cement only companies. (d) affiliate members: the council shall have a separate class of members that shall be referred to as the "affiliate" members. Membership in this class shall be open to all private and public businesses or individuals in arizona that are part of or have some interest in the concrete masonry industry and that agree to pay a fixed amount of annual dues to the council. The board, as determined at the reasonable discretion of the council, shall establish the dues to be paid by the affiliate members, which shall be paid on a yearly basis. (e) professional members: the council shall have a separate class of members that shall be referred to as the "professional" members. Membership in this class shall be open to all private and public businesses or individuals in arizona consultants, trainers or professionally licensed in engineering and/

Form 990, Part VI, Section A, Line 7A

Each class a member is entitled to designate one director to the board, remove such designated director, and fill any vacancy that may be created with respect to such director. Class b members have the right to elect 7 directors to the board. Each of the 7 directors must be a masonry contractor. Additionally, class b members are entitled to elect one director to the board, who is not a concrete masonry producer or masonry contractor. Each class b member shall be entitled to cast one vote with respect to each board position to be filled.

The excutive director of the organization receives the form 990 from the outside accountant. The excutive director then reviews and submits to the board of directors for their questions and any possible changes that need to be made to the return. Upon approval, the return is filed.

THE COUNCIL SHALL HAVE SIX (6) CLASSES OF MEMBERS, AS FOLLOWS: (A) CLASS A MEMBERS: THE COUNCIL SHALL HAVE A CLASS OF MEMBERS THAT SHALL BE REFERRED TO AS THE "CLASS A MEMBERS." THE CLASS A MEMBERS INCLUDE THE CONCRETE MASONRY MANUFACTURERS IN THE STATE OF ARIZONA THAT HAVE COMMITTED TO PARTICIPATE IN AND TO CONTRIBUTE TO THE COUNCIL BASED ON A SELF-IMPOSED, VOLUNTARY ASSESSMENT ON EACH ELIGIBLE CONCRETE MASONRY UNIT SOLD BY THE MANUFACTURER, WITH SUCH COMMITMENT TO BE IN THE MANNER AND FORM AS DETERMINED BY THE BOARD IN ITS SOLE AND ABSOLUTE DISCRETION AND BEEN EXPRESSLY ADMITTED BY THE BOARD, SEE EXHIBIT B FOR VOLUNTARY ASSESSMENT INFORMATION. CLASS A MEMBERS WILL AGREE TO PAY A FIXED AMOUNT OF ANNUAL DUES TO THE COUNCIL. THE BOARD, AS DETERMINED AT THE REASONABLE DISCRETION OF THE COUNCIL, SHALL ESTABLISH THE DUES TO BE PAID BY THE CLASS A MEMBERS, WHICH SHALL BE PAID ON A YEARLY BASIS. MEMBERSHIP IN THIS CLASS SHALL BE OPEN TO ALL PRIVATE AND PUBLIC BUSINESSES OR INDIVIDUALS IN ARIZONA MANUFACTURING AND/OR SELLING CEMENT TO THE MASONRY INDUSTRY. CLASS C MEMBERS WILL AGREE TO PAY AN APPROVED AMOUNT OF ANNUAL DUES TO THE COUNCIL. THERE WILL BE THREE DIFFERENT DIVISIONS FOR CLASS C MEMBERS: CEMENT & READY MIX, CEMENT ONLY, AND READY-MIX ONLY. THE BOARD, AS DETERMINED AT THE REASONABLE DISCRETION OF THE COUNCIL, SHALL ESTABLISH THE DUES TO BE PAID BY THE CLASS C MEMBERS, WHICH SHALL BE PAID ON A YEARLY BASIS. ONLY TWO OF THESE DIVISIONS CAN RUN FOR A SEAT ON THE BOARD OF DIRECTORS, THESE TWO ARE CEMENT & READY MIX AND CEMENT ONLY COMPANIES. (D) AFFILIATE MEMBERS: THE COUNCIL SHALL HAVE A SEPARATE CLASS OF MEMBERS THAT SHALL BE REFERRED TO AS THE "AFFILIATE" MEMBERS. MEMBERSHIP IN THIS CLASS SHALL BE OPEN TO ALL PRIVATE AND PUBLIC BUSINESSES OR INDIVIDUALS IN ARIZONA THAT ARE PART OF OR HAVE SOME INTEREST IN THE CONCRETE MASONRY INDUSTRY AND THAT AGREE TO PAY A FIXED AMOUNT OF ANNUAL DUES TO THE COUNCIL.
