“The board of directors requires an annual declaration from all board members and officers as to the existence and disclosure of any potential conflicts of interest. The board members and officers sign an annual disclosure statement. Any potential conflicts will be discussed by the dis-interested board members, while the party in potential conflict will be required to leave the meeting. When applicable, board meeting minutes will document the discussion and decision making process. In the event of a potential conflict, procedures to obtain competitive bids and diligence on fair value will be established.”

“Some of the organization's employees are paid through an administrative arrangement with brandeis university. However the board of ogs remains responsible for the hiring, recruitment and governance of its staff. Executive compensation program is administered by the board of directors through its personnel committee. The personnel committee is responsible for establishing and maintaining a competitive compensation program for the key executives of the organization. The committee meets as needed to review the compensation program and make recommendations for any changes to the board, as appropriate. A performance evaluation is conducted and reviewed in the spring of each year and is intended to ensure that the compensation program falls within a reasonable range of competitive practices for comparable positions among similarly situated organizations. Following this review, the committee reviews and approves, for selected key executives, base salaries and annual incentive opportunity adjustments, and objectives and goals forth-upcoming year's annual incentive plan. The committee reviews and recommends to the board salary approval and incentive awards for the executive director and selected key senior staff.”

“The ogs fellowship program, as a program designated for activities in israel and the palestinian territories, contains inherent risk of ogs's ability to deliver programs disrupted by war and conflict. The risks are related to the organization's ability to a) gather and recruit new fellows willing to work together during times of extreme conflict and, b) provide funding to potential entrepreneurs in the israel and the palestinian territories. Since october 7, 2023, there has been ongoing conflicts in the gaza and other areas of israel and the west bank which has impacted the organization's operations, both in terms of providing funding to awarded entrepreneurs and the possibility of finding future prospective fellows. The planned fellowship for the summer of 2024 was launched for recruiting in early 2024 and was subsequently cancelled as a consequence of ongoing war in the region. Effective february 26, 2025, with the termination of its usaid grant, ogs turned to private funding to continue its programming on a smaller scale. Ogs was able to complete a fellowship in the summer of 2025 and to fund commitments to its new ventures. Disruption to ogs's ability to recruit and host future fellowships remains at risk due to continuing war in the region. In addition, ogs established an emergency relief fund for its alumni further detailed on schedule f.”
