“Directors, principal officers, or members of a committee ("interested persons") must disclose the existence of financial interests that could give rise to conflicts and provide all material facts to the board. The board will then decide if a conflict of interest exists or appoint a 3rd party to investigate. After exercising due diligence, the board will determine whether the organization can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the board will then decide as to whether to enter into the transaction or arrangement.
