Governance Explanations

Form 990, Part VI, Section B, Line 11B

A draft copy of the form 990 and attachments is provided to the board of directors for review prior to filing of the return.

Form 990, Part VI, Section B, Line 12C

Directors, principal officers, or members of a committee ("interested persons") must disclose the existence of financial interests that could give rise to conflicts and provide all material facts to the board. The board will then decide if a conflict of interest exists or appoint a 3rd party to investigate. After exercising due diligence, the board will determine whether the organization can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the board will then decide as to whether to enter into the transaction or arrangement. The policy is distributed to interested persons on an annual basis. The board will take appropirate disciplinary and corrective action if it determines that an interested peson fails to disclose an actual or possible conflict of interest

Form 990, Part VI, Section B, Line 15A

The board has looked at compensation of other nonprofit organizations with similar missions to determine suitable compensation for top management in future years.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy and financial statements available to the public upon request.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt0A DRAFT COPY OF THE FORM 990 AND ATTACHMENTS IS PROVIDED TO THE BOARD OF DIRECTORS FOR REVIEW PRIOR TO FILING OF THE RETURN.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt1DIRECTORS, PRINCIPAL OFFICERS, OR MEMBERS OF A COMMITTEE ("INTERESTED PERSONS") MUST DISCLOSE THE EXISTENCE OF FINANCIAL INTERESTS THAT COULD GIVE RISE TO CONFLICTS AND PROVIDE ALL MATERIAL FACTS TO THE BOARD.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt2THE BOARD HAS LOOKED AT COMPENSATION OF OTHER NONPROFIT ORGANIZATIONS WITH SIMILAR MISSIONS TO DETERMINE SUITABLE COMPENSATION FOR TOP MANAGEMENT IN FUTURE YEARS.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt3THE ORGANIZATION MAKES ITS GOVERNING DOCUMENTS, CONFLICT OF INTEREST POLICY AND FINANCIAL STATEMENTS AVAILABLE TO THE PUBLIC UPON REQUEST.
