“All governing body decisions which effect awi are approved by the executive committee and availabel to all board members. Annual review of all key decisions are presented to the entire board and voted on at the annual board meeting.”

“Awi policy is to create a process for preparation and review of the form 990 and its distribution to all board members of americas watershed initiative (awi) whether before or after filing with the internal revenue service. This process will provide the board members the opportunity to review the form 990 while also ensuring that annual filing deadlines may be met. A copy of the filed form 990, if the final version was not circulated prior to filing, shall be circulated to the board of directors as promptly as reasonably practical after the filing, and in no case later than its next regular meeting following such filing. A final full board vote on the approval of the 990 filing will be taken at the next regular board meeting of americas watershed initiative.”

“Awi conflict of interest policy requires all board members, key employees, major contractors to disclose any and all conflicts to the executive of designated committee as sone as the conflict arises and before any actions relating the conflict are taken. Any individual with a potential conflict shall abstain from the vote on any related issue.”

“Executive director of americas watershed initiative (awi), a nonprofit is the principal representative of awi, and the person responsible for the efficient operation of awi. Therefore, it is the desire of the awi to provide a fair yet reasonable and not excessive compensation for the executive director (and any other highly compensated employees and consultants. The annual process for determining compensation is as follows: awi shall [either the full board or a compensation committee and or executive committee] annually evaluate the executive director on his/her performance and ask for his/her input on matters of performance and compensation.
