“Our bylaws were amended and approved on 9/23/24. Key changes included: Expanding the board size from 312 directors to 1218 directors, with terms, limits, and a required CEO seat Adjusting vacancy/removal rules and attendance standards Strengthening conflict-of-interest policies Expanding the officer slate to include Board Chair, Vice Chair, and Chair Emeritus, with defined succession”

“An outside accounting firm prepares the tax returns. After completion of said returns, the organization is sent a draft of the tax returns to be reviewed and examined by the vp of operations, ceo and the finance committee. If all items are found to be acceptable, the organization distributes copies of the completed returns to the board of directors. At which point, an authorization is signed and provided to the outside accounting firm to process, sign and provide copies of the returns to be filed (paper or electronically) with the designated governmental agencies. The tax returns are then signed by the organization, stamped with certified return receipt and timely placed in the mail for filing, or the form 8879 is provided to the outside accounting firm allowing electronic filing.”

“Annual disclosure of potential conflicts of interest is required of all board members. The organization monitors and enforces compliance with the conflict of interest policy by reviewing these disclosures and addressing any issues that arise during the year.”

“The Board of Directors (BOD) determines the CEOs salary. The BOD will review the market for comparable CEO salaries at tech companies with $5 million in revenue. Once determined, the CEO has an opportunity to review and negotiate. Once a final number is determined, the BOD will vote to approve the CEO salary during a quarterly board meeting. The CEO salary is reviewed annually during a quarterly BOD meeting.”

“The VP of Operations and CEO determine each teammates salary in collaboration with the hiring manager. The VP of Operations determines the salary bands for each role based on extensive market research, identifying companies with $5MM in revenue. Once determined, employees have the opportunity to negotiate during the hiring process. Salaries and promotions are reviewed during an annual internal process.”
