The filing organization, under a long term lease between the town of wilkesboro and wake forest university baptist medical center of all assets and property used in operations, is operated and controlled by wake forest university baptist medical center as an affiliate of atrium health wake forest baptist. All members of key management are employees of wake forest university baptist medical center.

Certain officers and directors are employed by a related organization, wake forest university baptist medical center (wfubmc) and the determination of the compensation of such individuals is conducted via the process utilized by the wfubmc board, as follows: the diversity, inclusion, & compensation committee (the "committee") of the atrium health, inc. Board of directors has authority as the wfubmc board delegates to it, for the review and approval of senior executive compensation, including senior executive incentive plans. No member of the committee is an employee of wfubmc or of the filing organization. The committee relies upon an external, independent compensation consultant experienced in healthcare to provide the committee with compensation comparability data for new executive position appointments and for compensation reviews for existing executives. The consultant, which is retained directly by the committee, provides third-party information and evaluates the competitiveness and reasonableness of executive compensation and benefits programs in relation to market practices for similarly situated healthcare organizations. The committee makes its decisions with respect to executive compensation in accordance with wfubmc and filing organization policies, irs regulations, and standard corporate governance practices. Such policies include adherence to executive compensation philosophy and review processes; processes ensuring committee member and compensation consultant independence; use of valid market comparisons of data from healthcare organizations of similar size, structure, and complexity and establishment of the rebuttable presumption of reasonableness, per irs guidelines. Minutes of the deliberations of the committee are maintained in the atrium health, inc. Legal department.

IRS990/Desc0THE ORGANIZATION OPERATES A 130 ACUTE CARE BED HOSPITAL PROVIDING MEDICAL, EMERGENCY, AND OUTPATIENT CARE SERVICES TO THE RESIDENTS OF ALLEGHANY, ALEXANDER, ASHE, CALDWELL, IREDELL, SURRY, WATAUGA, AND WILKES COUNTIES. THE ORGANIZATION SERVES AS A SATELLITE PROVIDER OF ATRIUM HEALTH WAKE FOREST BAPTIST SPECIALTY SERVICES AT ITS NORTH WILKESBORO CAMPUS, INCLUDING CARDIOLOGY, IMAGING, ENT, GASTROENTEROLOGY, NEPHROLOGY, NEUROLOGY, OB/GYN, OPHTHALMOLOGY, PATHOLOGY, PEDIATRICS, ORTHOPEDICS, AND UROLOGY. THE ORGANIZATION IS ACCREDITED BY THE JOINT COMMISSION ON ACCREDITATION OF HEALTHCARE ORGANIZATIONS AND HAS BEEN COMMITTED TO SERVING THE HEALTHCARE NEEDS OF WILKES COUNTY SINCE 1952.DURING CALENDAR YEAR 2022, THE HOSPITAL FACILITY HAD APPROXIMATELY 15,200 PATIENT DAYS, WITH 3,300 INPATIENT ADMISSIONS, AND 29,000 EMERGENCY ROOM VISITS. THE ORGANIZATION PROVIDES NUMEROUS RESOURCES, ACTIVITIES, AND PROGRAMS TO SERVE THE HEALTH NEEDS OF ITS COMMUNITY. THESE PROGRAMS INCLUDE:- FAITHHEALTHNC - AN INITIATIVE THAT CONNECTS THE CARING STRENGTHS OF CONGREGATIONS, THE CLINICAL EXPERTISE OF PROVIDERS, AND A NETWORK OF COMMUNITY RESOURCES TO EASE THOSE ON THE JOURNEY TO HEALTH AND HEALING, STRENGTHENING COMMUNITIES IN THE PROCESS. THERE ARE FOUR FAITHHEALTH CONNECTORS IN WILKES COUNTY THAT SERVE MARGINALIZED POPULATIONS AND GIVE VOICE TO HEALTH DISPARITIES IN THE COMMUNITIES SURROUNDING AHWFB-WMC.- ATHLETIC TRAINERS - CERTIFIED ATHLETIC TRAINERS ("ATC"), PROVIDED BY AHWFB, WORK FULL-TIME IN THE PUBLIC HIGH SCHOOLS IN WILKES COUNTY THAT HAVE ATHLETIC PROGRAMS. THE ATC'S WORK WITH STUDENT ATHLETES AND THEIR COACHES TO HELP KEEP THE ATHLETES SAFE AND HEALTHY AND TO TREAT AND HELP REHABILITATE SPORTS-RELATED INJURIES. - CARE CONNECTION PHARMACY - PROGRAM THAT PROVIDES FREE AND DISCOUNTED DRUGS TO THOSE UNABLE TO PAY FOR MEDICATIONS. IN RECENT YEARS, GRANT FUNDING RECEIVED FROM THE NC HEALTH AND WELLNESS TRUST FUND COMMISSION HAS BEEN USED TO UPGRADE THE TECHNOLOGY AND FUNDING OF THE PHARMACY. FOR EACH DOLLAR INVESTED IN THE PROGRAM, AN ESTIMATED $9 RETAIL VALUE OF PRESCRIPTION DRUGS HAVE BEEN ACQUIRED FOR QUALIFYING CITIZENS OF WILKES COUNTY. THIS PROGRAM ENABLES PATIENTS TO STAY COMPLIANT WITH THEIR MEDICAL TREATMENT PLAN AND ALSO REDUCE THE OCCURRENCE OF READMISSION. AHWFB-WMC ALSO SUPPORTS A SYRINGE EXCHANGE PROGRAM (SEP) AT THE PHARMACY. IN ADDITION TO COMMUNITY PROGRAMS, THE HOSPITAL REGULARLY REINVESTS FUNDS IN MEDICAL TECHNOLOGIES AND STATE-OF-THE ART EQUIPMENT TO BETTER MEET THE HEALTH NEEDS OF THE COMMUNITY. HOSPITAL LEADERSHIP WORKS DIRECTLY WITH THE WILKES MEDICAL CENTER FOUNDATION TO IDENTIFY AND VALIDATE GRANT PROPOSALS THAT ADDRESS ITS COMMUNITY HEALTH NEEDS ASSESSMENT. AHWFB-WMC WAS NAMED A BEST HOSPITAL IN AMERICA BY MONEY, FORMERLY KNOWN AS MONEY MAGAZINE. ONLY 148 HOSPITALS ACROSS THE U.S. WERE GIVEN THIS DISTINCTION; ONLY 6 TOTAL IN NORTH CAROLINA.AHWFB-WMC RECEIVED THE NATIONAL COMMISSIONING EXCELLENCE AWARD FROM THE BUILDING COMMISSIONING ASSOCIATION FOR EXISTING BUILDINGS FOR THE WORK THAT THEY HAVE BEEN DOING TO INCREASE THEIR ENERGY EFFICIENCY AND INDOOR ENVIRONMENTAL QUALITY.
