Governance Explanations

Form 990, Part VI

Document retention schedule the organization has a collections management policy which governs acquisitions, deaccessioning, and cataloging practices at the museum. The organization also has an internal controls policy, which includes a document retention schedule for administrative records as well as a process for determining the executive director compensation. Approval for executive director compensation policy: jhhsm desires to provide fair, yet reasonable and not excessive compensation to all employees. By following the irss three-step safe harbor procedure for executive director compensation, the jhhsm avoids the risk that the irs will late determine that the organization has engaged in an excess benefit transaction. Procedures: the jhhsm executive committee gathers input from the full board by way of an annual employee review document emailed to all current board members. The executive committee then reviews those documents to compile feedback and information. The executive committee meets to decide on an annual compensation package. The executive committee will obtain the most current research and information to make a recommendation for the compensation (salary and benefits) of the executive director based on a review of comparability data. Sources include: o the community foundation of jackson hole o written job offers for positions at similar organizations o documented telephone calls about similar positions at both non-profit and for-profit organizations o information obtained from the irs 990 filings of similar organizations. The annual compensation package is presented to the executive director at his/her performance review, and the executive committee asks for his/her input on matters of performance and compensation. The executive committee will document how it reached its decisions, including the data on which it relied. The chair of the board of directors, who is a volunteer and not compensated by the jhhsm, will operate independently without undue influence from the executive director. Determining compensation the executive director reviews compensation for the key positions within the organization. The board does informal research in the community and the region for comparable market data for compensation for such positions. Resources available include local salary levels research by the local community foundation and data from museum professional associations such as the american association of museums, the mountain plains museum association and other local organizations. There is a written performance review and formal notification of action.

Form 990, Page 6, Part VI, Line 11B

The 990 is reviewed by the accountant, executive director, president, treasurer, finance committee and the board of directors prior to filing. The same body reviews the quarterly and year end financial statements. The board also reviews audited financial statements (if any). The form 990 is available to the public to review on the premises of the administrative offices of the museum and online at guidestar.org.

Form 990, Page 6, Part VI, Line 12C

The conflict of interest policy is distributed to board members and employees and is available to the public upon request at the jackson hole historical society offices. Compliance is monitored in the following way: at the december board meeting, a written reminder is included in the board package stating that board members are required to disclose any conflict of interest at board meetings throughout the year. The conflict of interest form is distributed, signed, and collected annually.

FORM 990 - ORGANIZATION'S MISSION

The jackson hole historical society and museum tells the stories of jackson hole that connect people to the history of this valley and region. We steward and share artifacts and ideas that foster curiosity and continual learning, forge connections, and inform our 21st century dialogue.

Form 990

History of the jackson hole historical society and museum the jackson hole museum was founded in 1958 by local archaeologist and collector, w.c. Slim lawrence and businessman, homer richards. In 1965, the teton county historical society formed to collect and preserve archival materials such as historical documents, books, film, newspapers, oral histories, and photographs. The two merged in 1989 to create a unified cultural resources 501(c)3 managed by a board of directors. Over the last 65 years, the jackson hole historical society & museum (jhhsm) has grown to include extensive educational activities, sophisticated exhibits, partnerships throughout the community, and improved access to its research resources. Major accomplishments include digitizing a majority of the collection and integrating the collection into a digital database, preserving paper-based records in a climate controlled research center open to the public, establishing a rotating community-curated exhibit space, growing educational outreach including afterschool programming, summer camps, and historic downtown walking tours, improving our online presence with digital exhibits and teacher resources, inventorying, moving, and rehousing the collection in a new storage facility, and participating in the save the block effort to permanently preserve an important historic area in jackson while creating a permanent home for the jhhsm.

Form 990, Part XII

Committee oversight of the review of the organizations financial statements the finance committee, during the year, has not changed either its process regarding the oversight of the review of the financial statements or the process of selecting an independant accountant.

Financial Statement Notes

Schedule D, Page 4, Part XIII

Audited financial statement footnote as related to fasb asc 958: the museum manages a variety of collections from the jackson hole area and the rocky mountain region. The collections include historical artifacts (both two and three dimensional), a research library of western americana, manuscript and photograph archives, archival and biographical data related to the region, maps, ephemera, and oral histories. It also accepts and maintains reference books relating to the same subject material. In conformity with the practice followed by many museums, the various collections, whether purchased or donated, are not included in the balance sheet.
