Members are individuals and businesses who receive electrical service from the cooperative.

Member election for additional members Part VI line 7A

Each year, the Board of Directors appoints a nominating committee. A letter is sent to each member in the board district that will be electing a board member for the year noting if interested to submit name for nomination for director. The nominating committee meets and nominates a slate of candidates to run for election to the Board. The candidates are placed on a ballot and members of the organization vote from a written ballot that is submitted to an independent auditor (CPA) for tabulation. Voting is allowed in person at the annual meeting or by mail-in ballot.

Management prepares the Form 990 and it is submitted to auditor for review and submittal to IRS. Board reviews filed document.

Conflict of interest policy compliance Part VI line 12C

Policy #301 states that Big Horn will have the directors and employees annually disclose the conflict of interest by April 15 of each year. They are reviewed by the Board at the April meeting.

The organization responds to member inquiries for information. A member can also inspect minutes of meetings, accounting records, and records of action of the board of directors. An annual financial statement is provided to all members. The bylaws are posted on the website and available at the office.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt1Each year, the Board of Directors appoints a nominating committee. A letter is sent to each member in the board district that will be electing a board member for the year noting if interested to submit name for nomination for director. The nominating committee meets and nominates a slate of candidates to run for election to the Board. The candidates are placed on a ballot and members of the organization vote from a written ballot that is submitted to an independent auditor (CPA) for tabulation. Voting is allowed in person at the annual meeting or by mail-in ballot.
