Form 990, Part VI, Line 15A COMPENSATION DETERMINATION/REVIEW/APPROVAL

The ceo, cfo, and coo are employees of the ymca of greater indianapolis. Their compensation determination/review/approval process is maintained within that organization. Therefore, per irs instruction, the answer to part vi, line 15a is marked "no". In addition, line 15b is also marked "no" due to the fact that the filing organization has no other employees.

Form 990, Part VI, Line 1A Delegate broad authority to A committee

The board of directors may from time to time create and appoint standing, special or other committees to undertake studies, make recommendations and carry on functions for the purpose of efficiently accomplishing the purposes of the corporation. Committees, to the extent specified by the board of directors, may exercise the powers, functions or authority of the board of directors, except where prohibited by law; provided, however, that if a committee is to exercise board powers, functions, or authority, (a) all the persons serving on the committee shall be directors, (b) there must be a least two (2) persons on the committee, and (c) the creation of the committee and the appointment of its members shall be a majority of all directors in office when action is taken.

Ymca real estate corporation shall have only one member. The sole member of the corporation is the young men's christian association of greater indianapolis. The member shall have the rights and privileges of members of corporations as are provided under the indiana nonprofit act of 1991.

The sole member of the corporation is the young men's christian association of greater indianapolis. The member appoints the board of directors. The member can also remove any director with or without cause.

Form 990, Part VI, Line 7B Decisions requiring approval by members or stockholders

The board of directors may designate executive officers of the corporation and delegate authority to such officers in order to effectuate the operations and management of the corporation and to sign, execute and attest to agreements and any other documents, as required, by the corporation. The actions of such officers, when duly authorized, shall constitute the actions of the corporation. The board of directors have designated the ceo, cfo and coo of the ymca of greater indianapolis to also be the ceo, cfo and coo of the filing organization.

The Form 990 is distributed to all members of the governing body for review and comments. This entire process takes place before the filing of the return.

Form 990, Part VI, Line 12C Conflict of interest policy

The conflict of interest policy covers all volunteers and officers. Policy volunteers on the board of directors and officers are required to update and sign the disclosure statement annually. The Sr. Vice President/CFO reviews the volunteer disclosure statements and prepares the list of conflict of interest transactions for review by the Board of Directors. The Board of Directors is made aware of the process and the list is reviewed by senior leadership and provided to the Board upon request. Persons with a conflict of interest are prohibited from participating in all deliberations and decisions surrounding the identified potential conflict of interest transaction.

Schedule D, Part X, Line 2 FIN 48 (ASC 740) footnote

The YMCA Real Estate Corporation is exempt from income taxes under Section 501(c)(2) of the Internal Revenue Code. Accordingly, no provision for federal or state income taxes has been made. Current accounting standards require that the filing organization disclose the amount of potential benefit or obligation to be realized as a result of an examination performed by a taxing authority. For the year ended December 31, 2024, management has determined the filing organization does not have any tax positions that result in any uncertainties regarding the possible impact on the financial statements. The filing organization does not expect the total amount of unrecognized tax benefits to significantly change in the next 12 months. The filing organization recognizes interest and/or penalties related to income tax matters in income tax expense. The filing organization did not have any amounts accrued for interest and penalties at December 31, 2024.

Accordingly, no provision for federal or state income taxes has been made. Current accounting standards require that the filing organization disclose the amount of potential benefit or obligation to be realized as a result of an examination performed by a taxing authority. For the year ended December 31, 2024, management has determined the filing organization does not have any tax positions that result in any uncertainties regarding the possible impact on the financial statements. The filing organization does not expect the total amount of unrecognized tax benefits to significantly change in the next 12 months. The filing organization recognizes interest and/or penalties related to income tax matters in income tax expense. The filing organization did not have any amounts accrued for interest and penalties at December 31, 2024.
