Governance Explanations

Form 990, Page 6, Part VI, Line 11B

The organization has implemented a comprehensive review process for form 990. The return is initially prepared by our independent accounting firm and reviewed by the chief operating officer for accuracy and completeness. The draft return is then provided to all board members at least one week before filing, with an opportunity for questions and discussion. This multi-level review process ensures that the form 990 accurately represents the organization's operations, governance, and finances before submission to the irs.

Form 990, Page 6, Part VI, Line 12C

All board members and staff annually receive the conflict of interest policy and are required to reveal any potential conflicts to the board as soon as they occur. If a potential conflict is identified, the person with the potential conflict recuses his or her self from the decision making process.

The governing documents, conflict of interest policy and financial statements are available upon request.

FORM 990 - ORGANIZATION'S MISSION

The colorado energy and water institute (dba the institute for western energy (the organization) is established exclusively for charitable and educational purposes within the meaning of section 501(c)(3) of the internal revenue code. The organization is formed to bring together a diverse community of north american industry, policy, nonprofit and academic leaders in intentionally intimate settings to engage in meaningful conversations about north america's energy and water future; and to educate individuals about issues concerning energy and water and provide resources to challenges facing the future of energy and water. The organization may engage in other activities as allowed under section 501(c)(3), which are related to or further its primary purpose.

Form 990, Page 2, Part III, Line 2

The organization launched the western energy caucus (wec) in 2024, a new program service not previously reported on prior form 990 returns. The wec is an educational forum that brings together state legislators from eleven western states (arizona, california, colorado, idaho, montana, nevada, new mexico, oregon, utah, washington, and wyoming) to discuss complex energy challenges facing the western united states. The wec provides nonpartisan educational programming that enhances understanding of regional energy issues among legislators who work on energy policy in their respective states. The caucus includes equal representation from both major parties to ensure diverse perspectives and collaborative dialogue.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt0THE COLORADO ENERGY AND WATER INSTITUTE (DBA THE INSTITUTE FOR WESTERN ENERGY (THE ORGANIZATION) IS ESTABLISHED EXCLUSIVELY FOR CHARITABLE AND EDUCATIONAL PURPOSES WITHIN THE MEANING OF SECTION 501(C)(3) OF THE INTERNAL REVENUE CODE. THE ORGANIZATION MAY ENGAGE IN OTHER ACTIVITIES AS ALLOWED UNDER SECTION 501(C)(3), WHICH ARE RELATED TO OR FURTHER ITS PRIMARY PURPOSE.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt1THE ORGANIZATION LAUNCHED THE WESTERN ENERGY CAUCUS (WEC) IN 2024, A NEW PROGRAM SERVICE NOT PREVIOUSLY REPORTED ON PRIOR FORM 990 RETURNS.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt2THE ORGANIZATION HAS IMPLEMENTED A COMPREHENSIVE REVIEW PROCESS FOR FORM 990.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt3ALL BOARD MEMBERS AND STAFF ANNUALLY RECEIVE THE CONFLICT OF INTEREST POLICY AND ARE REQUIRED TO REVEAL ANY POTENTIAL CONFLICTS TO THE BOARD AS SOON AS THEY OCCUR. IF A POTENTIAL CONFLICT IS IDENTIFIED, THE PERSON WITH THE POTENTIAL CONFLICT RECUSES HIS OR HER SELF FROM THE DECISION MAKING PROCESS.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt4THE GOVERNING DOCUMENTS, CONFLICT OF INTEREST POLICY AND FINANCIAL STATEMENTS ARE AVAILABLE UPON REQUEST.
