A complete copy of the form 990 was then provided to all members of the board of directors and ceo prior to filing with the internal revenue service.”

“The head of finance and operations distributes annually to all directors, officers, and key employees (as identified by the corporation) a form soliciting the disclosure of all conflicts of interest. A director or officer who learns about a potential conflict of interest discloses promptly to the secretary of the corporation the material facts surrounding any potential conflict of interest, including specific information concerning the terms of any contract or transaction with the corporation. All efforts should be made to disclose any such contract or transaction and have it approved by disinterested members of the board before the arrangement is entered into. An employee of the corporation with a potential conflict of interest promptly and fully discloses the potential conflict to the employee's supervisor. The employee thereafter refrains from participating in deliberations and discussions, as well as any decisions. The chair of the board is ultimately responsible for determining the proper way to handle corporate decisions which involve unresolved employee conflicts of interest. Due to changes in key staffing in 2020, the conflict of interest forms were not gathered, however, no conflicts were discovered or noted during the year. In 2021, soa resumed normal procedures.”
