“A copy of form 990 is distributed to all board members for review. All significant items are communicated by the board members, and changes, if any, are submitted for correction. Once all board members agree form 990 appears correct, the return is filed.”

“Each director, principal officer, and member of a committee with board delegated powers shall be required to sign a statement which affirms that such person: 1) has received a copy of the conflict of interest policy; 2)has read and understands the policy; 3) has agreed to comply with the policy; and 4) understands that the corporation is charitable, and in order to maintain its federal tax exemption, it must engage primarily in activities which accomplish one or more of its tax-exempt purposes. If it is decided by the board of directors that a conflict of interest exists, the board of directors will vote on the transaction or arrangement proposed involving the possible conflict of interest and will determine whether the transaction or arrangement is in the best interest of the organization, for its own benefit, and whether it is fair and reasonable. If the board of directors determines that there was failure to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action.”

“The board of directors of the mississippi center for medically fragile children (mcmfc) approved a plan of dissolution and filed with the mississippi secretary of state to dissolve the nonprofit corporation. The organization has ceased operations and has donated their remaining assets and cash to the university of mississippi foundation, inc., a mississippi nonprofit corporation, to be earmarked for the ummc fund - fbo children's skilled nursing facility. The board believes that this nonprofit entity furthers the mission and message of mcmfc.”
