Governance Explanations

Form 990, Part VI, Section A, Line 1A

Article v - executive committee of the bylaws states: section 1. Members. The executive committee shall consist of the president, vice president, treasurer, secretary and immediate past president of the corporation. If the immediate past president is not available or eligible to serve because of term limits, another member of the board will be elected to fill the fifth position on the executive committee. Section 2. Functions. The executive committee shall function in the following ways: a) articulating, studying, discussing, and bringing to the board proposals for corporate action. B) assisting and advising the president or staff in implementing and executing the plans and policies approved by the board. C) appointing and receiving the reports of such task forces and committees as are necessary to complete functions (a) and (b). D) speaking and acting as the responsible body of the corporation between board meetings. Such action shall be without limitation, unless imposed by resolution of the board, except in the case of contracts and loans. The executive committee may authorize and execute or enter into contracts or loans without prior board approval only where: a) it is impracticable to call a meeting of the board before such action is necessary, and: b) it is reasonably believed that such action will be later ratified by the board. E) preparing the agenda for upcoming meetings.

Article xi - membership of the bylaws states: section 1. Membership. The initial membership of the corporation is 38. To remain a member, each member must pay dues to the corporation as determined annual by the board of directors.any additional members will be admitted as new members upon: 1. Payment of dues as determined by the board of directors, and 2. Approval of their membership application by the board of directors. Section 2. Meetings of the membership. An annual meeting of the membership shall be held in december of each year, beginning with the year 2017. Additional meetings may be called by action of the board of directors. Notice of the annual or called meetings must be sent to the membership no later than 14 days prior to the date of the meeting. Notice may be given by mail, fax transmittal, or e-mail.

There is no requirement for "annual" disclosure. Disclosure is required anytime there is a conflict. Esda's policy states: 1. Officers, directors and staff need to avoid actual and/or apparent conflicts of interest. Decisions on behalf of everett station district alliance must be based solely on the interest of everett station district alliance. Decisions must not be influenced by desire for personal profit or other extraneous considerations. 2. Officers, directors and staff shall disclose to the executive director and/or the board of directors any conflict he or she becomes aware of as issues arise, and recuse himself/herself from aff ected matters if there is a direct conflict. 3. Officers, directors and staff agree to protect the confidentiality of information obtained from everett station district alliance. 4. When an officer, director, staff or the executive director believes that an individual has a conflict of interest that has not been properly recognized or resolved, the officer, board member, or executive director will raise that issue and seek proper resolution. 5. Officers, directors, staff , board members, and the executive director will ensure that proper disclosure and actions taken in regard to those disclosures are a matter of record. In addition, esda's personnel policy guidelines also include a confl ict of interest policy, which states: employees acting on behalf of everett station district alliance have a fiduciary duty to esda, including the duties of loyalty, diligence, and confidentiality. Despite the self-interests that members inevitably have, those in positions of responsibility, in their fiduciary capacity, must act in utmost good faith on behalf of everett station district alliance. In accepting their positions, they undertake to give the agency the benefit of their care and best judgment and to exercise the powers conferred solely in the interest of the agency and not for their own personal interest. A direct conflict of interest arises when an individual holds a position of responsibility with everett station district alliance and also holds a material interest in the issue at hand. Direct conflicts of interest arise, for example, when an individual engages in a personal transaction with everett station district alliance or holds a material interest or position of responsibility in an organization involved in a specific transaction with everett station district alliance. Such a situation places the person in the impossible position of attempting to represent both esda and one's personal interests or those of the other organization. The appropriate and necessary course of action in such cases is to disclose the conflict and recuse oneself, i.e., to remove oneself from deliberations and actions on the issue.

While esda does not have a whistleblower policy, we do have an anti-harassment policy. Under this policy, the complaint procedure is as follows: everett station district alliance strongly urges the reporting of all incidents of discrimination, harassment or retaliation, regardless of the off ender's identity or position. Early reporting and intervention have proven to be the most eff ective method of resolving actual or perceived incidents of harassment. Prompt reporting of complaints or concerns assure that rapid and constructive action can be taken. Individuals who believe they are being subjected to conduct prohibited by this policy are encouraged, if they feel comfortable in doing so, to promptly advise the off ender that the conduct is inappropriate, off ensive and/or unwelcome and request that such conduct stop. Individuals who believe they have experienced or observed conduct that they believe is contrary to everett station district alliance policy may also directly fi le their complaints with their supervisor. If, for whatever reason, the employee does not feel that the supervisor is a suitable person to whom to report the incident, the employee should contact the executive director. If the allegation involves the executive director then the president of the board of directors should be contacted.

Form 990, Part III, Line 4A

Neighborhood services program the long-term goal is to create a welcoming, hospitable neighborhood for visitors, commuters, shoppers, and workers. 2024 activities: (1) neighborhood ambassadors welcomed people to the neighborhood, checked on the welfare of people in need on the street, picked up litter and removed graffiti, and reported potential safety issues; (2) overnight patrol monitored for safety issues and people in crisis living on the streets; and (3) designed street pole banners that were installed along two major arterial streets during december 2024 to february 2025. Measurable results: 1. Ambassadors removed an average of 150 bags of debris and trash per month. 2. Performed 292 business check-ins. 3. Provided 11 new no trespassing signs to businesses within the bia and coordinated the collection of no-trespassing agreements between businesses and everett police department. 4. Reported 126 places of graffiti 96% have been addressed. Ambassadors painted over 12 of the tags, while most of the remaining graffiti was quickly addressed by the business/property owner. 5.conducted 79 welfare checks with people-in-need. 6. Distributed 49 naloxone kits to people-in-need. 7. Led 3 volunteer community cleanups through the city's adopt-a-street program. 8. Removed 1,062 pallets from businesses/properties for free with pallet recycling program.

Community development program the long-term goal is to create an equitable transit-oriented community. Our organization's vision statement says: " the everett station district neighborhood will be a vital economic engine for the and play; and a model for how natural systems can ourish in an urban context, supporting human health and resilience." 2024 activities: (1) continued convening workforce development work group; (2) communicated with agency staff and shared information with neighborhood stakeholders regarding proposed minor league baseball stadium and future light rail station; (3) contracted with the local initiatives support corporation to recommend the creation of a community development corporation for transit-oriented development in everett; (4) organized activation events; (5) designed and installed a little free library and wayfinding booth; and (6) designed and began installing street pole banners to beautify the neighborhood. Measurable results: 1. 10 meetings of workforce development work group. 2. Comment letters regarding stadium and light rail projects. 3. Tod cdc recommendations report from lisc. 4. Little free library. 5. Street pole banners. 6. Free community vaccination clinic. 7. Free family photos with santa event.

MEASURABLE RESULTS: 1. AMBASSADORS REMOVED AN AVERAGE OF 150 BAGS OF DEBRIS AND TRASH PER MONTH. 2. PERFORMED 292 BUSINESS CHECK-INS. 3. PROVIDED 11 NEW NO TRESPASSING SIGNS TO BUSINESSES WITHIN THE BIA AND COORDINATED THE COLLECTION OF NO-TRESPASSING AGREEMENTS BETWEEN BUSINESSES AND EVERETT POLICE DEPARTMENT. 4. REPORTED 126 PLACES OF GRAFFITI 96% HAVE BEEN ADDRESSED. AMBASSADORS PAINTED OVER 12 OF THE TAGS, WHILE MOST OF THE REMAINING GRAFFITI WAS QUICKLY ADDRESSED BY THE BUSINESS/PROPERTY OWNER. 5.CONDUCTED 79 WELFARE CHECKS WITH PEOPLE-IN-NEED. 6.
