Mission

Upon completion of construction and an official opening of a new hospital the organization will support the charitable mission and activities of geisinger health and st. Luke's health network, inc. D/b/a st. Luke's university health network. The organization will provide for the general welfare and promote the health of members within its community by providing healthcare services, including establishing, owning and maintaining a hospital facility, nursing facilities, ancillary care facilities and the provision of physician services.

To care for the sick and injured and improve our community's health regardless of a patient's ability to pay.

Luke's") announced that the organizations had entered into a joint venture to build a new acute care hospital in the borough of orwigsburg pennsylvania. Geisinger health and st. Luke's health network, inc. Are the sole members of this organization. The organization is managed, conducted and directed by its board of trustees. In accordance with the organization's bylaws, each member appoints an equal number of trustees to its governing body (board of trustees).

The organization's federal form 990 was provided to each voting member of the organization's governing body (its board of trustees) prior to the filing with the internal revenue service ("irs"). As part of the organization's federal form 990 tax return preparation process the organization hired a professional certified public accounting ("cpa") firm with experience and expertise in both healthcare and not-for-profit tax return preparation to prepare the federal form 990. The cpa firm's tax professionals worked closely with the organization's finance personnel to obtain the information needed in order to prepare a complete and accurate tax return. The cpa firm prepared a draft federal form 990 and furnished it to the organization's finance personnel for their review. The organization's finance personnel reviewed the draft federal form 990 and discussed questions and comments with the cpa firm. Revisions were made to the draft federal form 990 where necessary and a final draft was furnished by the cpa firm for final review and approval. Thereafter, the form 990 was provided to each voting member of the organization's governing body prior to filing with the irs.

CORE FORM, PART VI, SECTION B; QUESTION 12

The organization has a written conflict of interest policy and regularly monitors and enforces compliance with that policy. Every covered individual is required to submit, at least annually, a conflict-of-interest disclosure statement which lists all financial and conflicting interests. These disclosures are then shared with the chairman of the board. If a covered individual discloses an interest that could give rise to a conflict, the potential conflict may be disclosed to the organization's governing body, which evaluates the conflict and its potential impact on the covered individuals' participation. After consultation and discussion, the board of trustees may take action, if appropriate and necessary, to address any such conflict in a manner consistent with the organization's conflict of interest policy.

The organization currently has no compensated individuals. However, the compensation payable to senior executives and medical chiefs will be determined by the organization's executive compensation committee and its board of trustees based on guidance from an independent executive compensation consultant with expertise in this field. The consultant is engaged by and reports directly to the executive compensation committee and the board of trustees. The consultant will provide a full report to the executive compensation committee and board of trustees every two years. The consultant will review the roles of the organization's executives, determine applicable peer organizations, collect and analyzes published compensation survey data, confirm the data based on publicly available information and compare the compensation of the organization's executives and medical chiefs to the market data. The consultant will provide a report of its market findings and present the report to the executive compensation committee of the board of trustees. Finally, the consultant will prepare a letter commenting on the reasonableness of the organization's compensation. A portion of the compensation payable to senior executives and medical chiefs will be contingent upon the achievement of performance measures set in advance by the board of trustees based on recommendations from the executive compensation committee. The contingent portion, referred to as "incentive compensation", is forfeited upon failure to achieve a minimum level of operating surplus or the loss of certain key hospital and service line accreditations. The performance measures change from year to year as determined by the executive compensation committee and the board of trustees and typically include measures based on quality, patient satisfaction and fiscal responsibility. The executive compensation committee has adopted a written executive compensation philosophy which it follows when it reviews and approves of the compensation and benefits. The will committee review the "total compensation" which is intended to include both current and deferred compensation and all employee benefits, both qualified and non-qualified. The committee's review will be done on at least an annual basis and ensures that the "total compensation" of senior management is reasonable. The actions taken by the committee enable the organization to receive the rebuttable presumption of reasonableness for purposes of internal revenue code section 4958 with respect to the total compensation of senior management.

Core Form, Part III, Statement of Program Service Accomplishments

Geisinger St. Luke's Campus is the first new acute-care, non-replacement hospital Schuylkill County has seen in 90 years. Comprised of three stories and 130,091 square feet, the $100-million hospital building has 60 private patient rooms, including 10 critical care beds, and the ability to add 20 more medical-surgical rooms in the future. To promote healing, the rooms are spacious and beautifully decorated. The hospital also features state-of-the-art operating and procedure rooms, a helipad, a large and efficient emergency room and modern medical technologies from GE Healthcare. Opening in November 2019, Geisinger St. Luke's Campus was the first joint venture in Pennsylvania history of two health systems coming together to co-own a facility. The hospital is recognized by the Internal Revenue Service (IRS) as an Internal Revenue code section 501(c)(3) tax-exempt organization. Pursuant to its charitable purposes, Geisinger St. Luke's Campus provides medically necessary healthcare services to all individuals in a non-discriminatory manner regardless of race, color, creed, sex, national origin, religion or ability to pay. Moreover, Geisinger St. Luke's Campus operates consistently with the following criteria outlined in the IRS revenue ruling 69-545: 1) Geisinger St. Luke's Campus provides medically necessary healthcare services to all individuals regardless of ability to pay, including charity care, self-pay, Medicare and Medicaid patients; 2) Geisinger St. Luke's Campus operates an active emergency room for all persons; which is open 24 hours a day, seven days a week, 365 days per year; 3) Geisinger St. Luke's Campus maintains an open medical staff, by invitation only, with privileges available to all qualified physicians; 4) Control of Geisinger St. Luke's Campus rests with its Board of Trustees. This board is comprised of a majority of executive leadership from both Geisinger and St. Luke's University Health Network as well as physician leaders from both networks and community representatives; and 5) Surplus funds are used to improve the quality of patient care, expand and renovate facilities and advance medical care programs and activities. The operations of Geisinger St. Luke's Campus, as shown through the factors outlined above and other information contained herein, clearly demonstrate that the use and control of Geisinger St. Luke's Campus is for the benefit of the public and that no part of the income or net earnings of the organization inures to the benefit of any private individual, nor is any private interest being served other than incidentally. Community Outreach ================== During Fiscal Year 2024 (FY 24), St. Luke's University Health Network (SLUHN) continued efforts related to top priorities established through the 2022 Community Health Needs Assessment (CHNA). These priorities, outlined in the 2022-2025 Implementation Strategy, progress with initiative updates from FY 24 are detailed in the report. Our efforts to implement sustainable initiatives that focus on a wide range of health and quality of life outcomes are a result of data-driven strategies to promote overall health and wellbeing. While there are many issues facing our communities, the results from the 2022 CHNA found the top priorities for the St. Luke's Network to include: Access to Care (Connection to Care, Workforce Development, Transportation and Housing), Chronic Disease Prevention (Food Security, Nutrition Education and Promotion, Physical Activity Promotion), Mental and Behavioral Health (Access to Mental and Behavioral Health Services, Access to Opioid and other Substance Use Disorder Services, Access to Prevention, Treatment, and Recovery). The needs outlined in our implementation strategy serve as a guide to support strategic initiatives through the pillars of Prevention and Wellness, Care Transformation, and Research and Partnerships. Through collaborations with community and Network partners, we aim to promote a more equitable society with better health outcomes for all, with an emphasis on supporting the diverse needs of our most vulnerable populations. The needs related to the priority areas outlined in this document served as our guide in creating this Network Implementation Plan to best address the needs of populations within the SLUHN service areas. Results from the 2022 CHNA found access to care as the main barrier facing our community, particularly within the four main priority areas. The updates to the Fiscal Year 2022-2025 implementation strategy include removing the priority area of COVID-19. Given the end of the public health emergency and continued decline of the pandemic, COVID-19 was removed from the implementation strategy as a top priority for the Fiscal Year 2023 update as well as for Fiscal Year 2024. Continued monitoring of COVID-19 ensures that the Network is prepared to pivot and re-prioritize as necessary. St. Luke's University Health Network (SLUHN) and the Geisinger St. Luke's (GSL) Campus conducts a Community Health Needs Assessment (CHNA) every three years as part of the Patient Protection and Affordable Care Act. Through our analysis of primary and secondary data, including the CHNA key informant interviews, forums, and surveys with community members, we see significant issues related to social determinants of health (SDOH) facing our communities. Our efforts in prevention, care transformation, research, and partnerships help support our work to implement sustainable initiatives that focus on a wide range of health and quality of life outcomes. Through collaborations with community and Network partners, the Department of Community Health (Community Health) aims to promote a more equitable society with improved health outcomes, especially within the Network's most vulnerable populations. Community Health's mission is to create pathways for equity toward measurable health outcomes through advocacy, access, and navigation of resources for partners and underserved communities. The Department envisions a community where everyone has access to exceptional healthcare built on a foundation of trust and compassion. SLUHN partners with local schools, civic organizations, and provides community resources to improve the health of the residents of Schuylkill County and the surrounding area. Transportation: St. Luke's transportation services, in collaboration with Lyft and Uber rideshare, ensures access to care by supporting rides to and from appointments. Transportation initiatives supported by SLUHN align with the primary goal of improving access to primary care for homeless and near homeless populations. By providing complimentary Lyft and Uber rides to and from appointments with primary care doctors and other specialists, this initiative allows patients to receive routine care in a timely manner, with the added goal of reducing the frequency and overuse of Emergency Department resources. More than $900,000 in Lyft and Uber rides were provided for services Network-wide. Preventing Chronic Disease -------------------------- Local Food Pantry Support: Geisinger St. Luke's employees provided monthly volunteer support to the Orwigsburg Food Pantry. Physical Activity: Get Your Tail on the Trail is a free program created in 2013 by SLUHN and Delaware & Lehigh National Heritage Corridor. The program aims to help people of all ages and abilities to meet their personal fitness goals. Since program inception, there have been a total of 5,757,196 miles recorded. Network-wide, there were 2,382 active users that logged 712,995 miles during FY 24. Fireside Chats: Fireside chats were available to the community to help share information and resources for topics such as Heart Health, The Aging Brain, Your Lung Health, Wound Care, and Urology. Diabetes Self-Management Education and Support: St. Luke's Diabetes Education Accreditation Programs (DEAP) is governed by the Association of Diabetes Care and Education Specialists. These programs include Diabetes Self-Management Education and Support (DSMES) and Medical Nutrition Therapy. The Community Health DEAP program provides diabetes education to vulnerable populations at the Miners campus and the Ringtown Rural Health Center with Diabetes Self-Management Education and Support, DSMES, classes through one-on-one and group sessions, which are both offered in-person or virtually. Older Adult Meals: Older adults in the area of the Geisinger St. Luke's Campus are welcome to enjoy a low-cost healthy meal in the cafeteria. During FY 24, 6,885 meals were served during the program. This initiative addresses food security and loneliness among older adults. Employee Wellness: St. Luke's University Health Network recognizes that the health of its workforce is important and vital to the success of our organization. In order to support our employees and their spouses, the St. Luke's Employee Wellness Team provides evidence-based programming and health education to empower individuals to positively impact their health and reduce their risk of chronic health conditions through making healthy lifestyle choices. In alignment with the Network CHNA top priorities (i.e., Access to Care, Chronic Disease Prevention, Mental and Behavioral Health), Employee Wellness provides opportunities for employees and their spouses to focus on their physical, mental and social well-being, to help foster a high quality of life while managing the demands of their roles at work and home. During FY 24, the following programs and resources were provided to support employee wellness: Caring Starts with You Core (annual biometric and health risk assessment program), Community Supported Agriculture Program (CSA), health coaching, Plant Based Eating Class, Diabetes Prevention Program (DPP), tobacco cessation, Employee Fitness Incentive Program, massage therapy, Silver Cloud, Employee Assistance Program, and Therapy Anywhere. St. Luke's Wellness 101 show is fun and educational, and the short video series is designed to help students 12 + and adults thrive (with over 100 episodes). The following footnote is included in the organization's audited financial statements that reports the organization's liability for uncertain tax positions under fin 48 (asc 740): gsl hospital and gslpg are pennsylvania not-for-profit corporations and have been recognized as tax-exempt pursuant to section 501(c)(3) of the internal revenue code. On such basis, the entities will not incur any liability for federal income taxes, except for possible unrelated business income. Gsl network's accounting policy is to evaluate uncertain tax positions in accordance with professional accounting standards. Pursuant to the guidance in the standards, gsl network has determined that no unrecognized tax benefits exist as of june 30, 2024 and does not expect this determination to change significantly over the next 12 months.
