The sub-association is a membership (non-stock) organization with two classes of voting membership: (1) class a members - all owners of "units" (any portion of the property subject to the cc&rs of the pointe commercial association) with the exception of the declarant. (2) class b member - the declarant (the pointe cc lp). The class b member has the exclusive right to elect each member of the association's board of directors during the "class b control period." the class b membership shall cease and be converted to class a membership one hundred twenty (120) days after the conveyance by declarant to owners of ninety percent (90%) of the units located withing the property.

During the "class b control period" (as defined in section 2.08(b) of the declaration of covenants, conditions & restrictions for the pointe commercial association; the "declaration"), the sole class b member (the pointe cc lp) has the exclusive right to elect or appoint each member of the board or directors. Following the expiration/termination of the "class b control period", directors shall be elected by majority vote of the association members.
