Governance Explanations

Form 990, Part VI, Section A, Line 1A

The standing committees of the board of directors shall include, but shall not be limited to, an audit committee and a nominating committee. The board of directors, by a vote of a majority of the directors then in office, may establish one or more other standing committees. Each standing committee shall be comprised of one or more directors. The board of directors may also appoint one or more special committees for such special tasks as circumstances warrant comprised of one or more directors. Such special committees shall limit their activities to the accomplishment of the task for which they are created and appointed and shall have no power to act except such as is specifically conferred by action of the board of directors. The board of directors may delegate to a standing or special committee any of the powers of the board of directors, except the power to (1) authorize distributions; (2) approve the dissolution, merger or reorganization of the alliance; (3) approve or propose to members any action that the nonprofit code, the articles of incorporation or these bylaws require be approved by the members; (4) fill vacancies on the board of directors or any of its committees (except a committee may appoint one or more directors as alternate members of any committee to replace any absent or disqualified member during the member's absence or disqualification); or (5) adopt, amend or repeal these bylaws.

Members can join the alliance at any time during the year, and are vetted by a membership review committee for their willingness to adhere to the principles and work in a collaborative way. The major goals of the alliance are to accelerate the deployment of electric vehicle infrastructure, promote a strong utility role, and promote open standards and interoperability for the benefit of consumers. The alliance had about 55 members at end of the year. They are broken down in four categories and the membership dues level varies accordingly: gold, silver, bronze and evse. After joining the alliance, members are urged to become active in the two major committees, and participate in state activities in a collaborative way to advance such principles. Dues are assessed and paid annually.

Form 990, Part VI, Section A, Line 7A

The alliance has no stockholders but has members who participate in its activities and meet once per year at an annual meeting to elect the board of directors and review any governance changes. The committees and board of directors meet monthly, usually by teleconference. The bylaws of the alliance set forth the rights of the members, and the duties of the board of directors including three officers: chairman, treasurer, and secretary. Currently, there are 11 voting members of the board of directors with one member (the executive director) serving on an ex-officio basis. The three officers are delegated powers by the full board of directors to assist the executive director in the operations of the alliance and oversee these activities.

Part VII, Section A & B, Officer Compensation and Independent Contractors

Philip jones can be regarded as an "officer" who provides consulting services to ate. His compensation is divided in two parts: a monthly fee paid to phil jones consulting llc, and a year-end performance bonus determined by the board of directors, also paid to the llc. His total compensation is stated in part ix, line 5, on page 11 for "advisory services", ate purchased the services of four independent contractors (1099 contractors) during 2024 for $370,000 in total. Each of these contractors have their own llcs established and carry out consulting and advisory services work directly for ate, subject to the supervision of the executive-director.
