Governance Explanations

Part VI, Section B, Line 1

The bylaws of the organization provide the guidelines for board voting. The board controls the operations of the organization to ensure that the charitable mission is met and funded. The board may delegate broad authority to an executive committee and other considerations about control. The board votes and policies are approved by two-thirds or one-half plus one vote majority. This is true during board member election setting salary packages and employee compensations and benefits.

Part VI, Line 11B

Each board member receives a copy via email for review. If it is approved by a 2 3 vote it is submitted. If not the Executive Director responds to questions and concerns until the final approval is received. The approved copy becomes the submitted return for the IRS and the State of South Carolina.

Part VI, Line 12C

Each member of the board receives a copy of the Conflict of Interest Policy during their onboarding. A signed copy is kept at the official business office. Then the board reviews its mandatory documents a minimum of twice each year. The Conflict of Interest Policy is included in the documents review. Before approving any contracts or MOUs MOAs the board requests and discloses any relationship or affiliation a member has and votes to determine if there is a conflict of interest before signing contracts or other agreements. If a member has an interest in a contract they must leave the room while deliberation is made and are not permitted to vote on the said contract.

Part VI, Line 15

Megan Manigault: 2022| The Executive director position compensation was researched in US Department of Labor Wage and Hour Division. South Carolina has no state minimum wage law and complies with federal law and compares wages to that of others within the state and area with similar-sized and mission organizations. The compensation suggestion was presented at a board meeting and voted on to provide an hourly compensation of no less than $25,000 beginning in 2024 and increase according to funding until the salary reaches $65,000 per year and is reviewed annually. 2022| Megan Manigault The board researched tax-exempt charitable nonprofits guidelines federal and state wage and hour laws to ensure a proposed salary was reasonable and not excessive. However funding has only allowed for a financial compensation depending on the grant funds received. That compensation is below scale for South Carolina and the qualifications duties and responsibilities of the current president. 2022| Annsharee Harrison The person was responsible for many duties include intake house oversight treatment schedules housing placement. Research was done on similar positions in South Carolina to determine the appropriate cash wage for the worker and takes into consideration of free housing food and transportation. The board decided on the amount discussed it with the worker who accepted the offer. The ED Pro Dir. provided the interview and offer. 2022

Contracted house manager provides overnight supervision at transitional housing facility payments made to independent contractors who play vital roles in delivering mission-driven services to the community. These contractors include Community Health Workers Doulas Speakers and House Managers. Each category of contractor contributes unique expertise and culturally competent support to promote health equity education and family well-being: Community Health Workers serve as trusted liaisons between the organization and underserved populations providing health education resource navigation and advocacy. Doulas offer non-clinical compassionate birth and postpartum support to individuals and families fostering improved maternal and infant health outcomes. Speakers are engaged to lead workshops seminars and community events on topics aligned with the organizations mission such as public health empowerment and wellness. House Managers provide logistical and supportive services in residential or program settings ensuring safe stable and nurturing environments for participants. These roles are essential in furthering the organizations goals and engaging them as independent contractors allows for the flexibility and specialized expertise required to meet the diverse needs of the communities served.
