“Meetings held quarterly, 3rd Sunday of the month. Ten percent of total members in good standing shall constitute a quorum. Action/ Minutes taken at meetings shall be concurred/ approved by the membership at the next regular meeting.”

“The members will review the Form 990 at their regular scheduled meeting. The review will be constructed by Counsel and consultants to the Plan.”

“Each Trustee has agreed to comply to the policy, in written form. Trustees are required to disclose to all Trustees the existence of financial interest or possible conflict of interest. After such disclosure, and in the case of any questions about a potential conflict of interest or any other questions by a Trustee, the Trust's legal counsel will make a recommendation of a course of action that will keep all Trustees and the Longshore and Warehouse Union Plan in compliance with the applicable laws, and record of such disclosures, and the course of action will be recorded in the minutes. If any Trustee fails to disclose actual or possible conflicts of interest, they will inform him and allow him an opportunity to provide explanation. If, after hearing the explanation and investigation further if warranted, the Trustees determine that the Trustee in question has failed to disclose an actual or possible conflict of interest, they will take appropriate corrective action.”

“Governing documents and financial statements are made available to participants of the International Longshore and Warehouse Union, of which the Trust is part, upon request as required by ERISA.”
