Additional Explanations

Pt VI, Line 11B

The tax preparer creates a draft of the 990 based on available information and forwards it to the Executive Director and the Treasurer of the board for their review, along with requests for further information that may be required. The Executive Director and Treasurer review the draft, make changes that are necessary, and provide the requested information to the tax preparer. The tax preparer then revises the 990, as may be required, which is returned to the Executive Director and Treasurer and forwarded to the President of the board for final review. The final 990 is then sent to the remaining directors.

Pt VI, Line 12C

Current directors and officials must disclose the existence of any financial conflicts of interest to the directors and members of committees with governing board delegated powers that are considering proposed transactions or arrangements. After disclosure of the financial interest and all material facts, the director or official with a potential conflict of interest shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining committee members shall decide if a conflict of interest exists. After exercising due diligence, the governing board or committee shall determine whether the organization can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the Organizations best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination it shall make its decision as to whether to enter into the transaction or arrangement.

The Governance Committee of the board conducted the Executive Directors annual review after soliciting input from independent persons (community partners/advisors). The review and a salary recommendation were presented to the board for approval.

Services include client screening and intake, attorney advice and counsel, legal representation in federal immigration court, assistance with status adjustment applications, and training law students, pro bono attorneys and other volunteers in helping with specific services. TLCs legal team provided immigration legal assistance to 176 low-income clients and opened 260 total cases-in addition to working on cases that were opened in the prior year. TLC also became the first and only local provider on the DOJ list of Pro Bono Legal Service Providers for immigrants with cases at the Honolulu immigration court.

TLC co-hosted a continuing legal education (CLE) course entitled Defending Immigrants in Hawaiis Criminal Courts, educating 63 attorneys-including public defenders from across the state-in this highly specialized area of law, with the hope of preventing unnecessary deportations. As a result of attending the course, staff from The Office of the Public Defender contacted TLC to request statewide staff training for their attorneys.
