The research institute is a virginia nonprofit, nonstock corporation organized for medical research and scientific purposes within the meaning of section 501(c)(3) of the internal revenue code of 1986, as amended (the "code"). The members of the research institute, inova health system foundation, university of virginia and george mason university, are all prominent tax-exempt organizations all of which are organizations described in section 501(c)(3) of the internal revenue code and/or state instrumentalities.

Form 990, Part VI, Section A, Line 7A

As described in the bylaws, the governing body of the organization is the board of directors. The board is comprised of up to two directors. The directors are designated and appointed by each of the members.

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared and provided to the corporate controller and external tax consultants for initial review. After the review it is given to the cfo of inova health system for review and comment. The form 990 is presented to the executive committee of the inova health system board of trustees for its review. Upon completion of the executive committee review, it is provided to the full board of trustees.

Annually the organization distributes the conflict of interest policy to all directors, officers, trustees, and key employees. The purpose of this conflict of interest policy ("policy") is to protect the interest of global genomics and bioinformatics research institute (the "research institute"), a virginia nonstock corporation, when it is contemplating entering into a contract, transaction or arrangement that might benefit the private interest of an officer or director of the institute or other interested person (defined below). The primary benefit of the policy is that the board of directors and board committees can make decisions in an objective manner without undue influence by interested persons. This policy can help to assure that the institute fulfills its nonprofit purposes, properly oversees the activities of its officers and directors, and pays no more than reasonable compensation to highly compensated individuals. The institute encourages individuals to avoid conflicts of interest in appearance and in fact. This policy is intended to supplement, but not replace, any applicable state laws governing conflicts of interest applicable to not-for-profit corporations.

THE PRIMARY BENEFIT OF THE POLICY IS THAT THE BOARD OF DIRECTORS AND BOARD COMMITTEES CAN MAKE DECISIONS IN AN OBJECTIVE MANNER WITHOUT UNDUE INFLUENCE BY INTERESTED PERSONS.
