Any director or officer is an interested party. A person has a financial interest if directly or indirectly through business, investment or family has ownership in any entity which the organization has a transaction. The governing board shall determine whether such a conflict may exist and may appoint a disinterested person to investigate. After such an investigation, the governing board shall determine whether to continue the transaction if such is fair and reasonable. If the governing board has cause to believe an individual has failed to disclose conflicts of interest, it shall inform that individual so he can explain the alleged failure to disclose. If such a failure is deemed to exist, the board shall take appropriate disciplinary and corrective action.
