Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee of the board is composed of the officers of the board and such other board members as the chairperson shall designate. The executive committee shall have and exercise the authority of the board in the management of the charitable operations of the corporation whenever it may be impracticable to convene a meeting of the entire board, and shall report on any actions it may take to the board not later than the next scheduled meeting of the board. No committee, including the executive committee, shall have any power or authority as to the following: (a) submission to the member of any action requiring approval of the member, including, but not limited to, the amendment of the governing documents, and/or the adoption of a plan of merger, dissolution, consolidation, conversion, or division; (b) filling of vacancies in the board; (c) adoption, amendment or repeal of the bylaws; (d) amendment or repeal of any resolution of the board; or (e) action on matters committed by the governing document or by resolution of the board to another committee of the board.

Jevs hireability's sole member is jevs human services, a non-stock nonprofit pennsylvania corporation which has been recognized by the internal revenue service as exempt from federal taxation under section 501(c)(3) of the internal revenue code and as a public charity under internal revenue code section 509(a)(1) as a section 170(b)(1)(a)(vi) entity.

Jevs hireability's bylaws provide that the following requires jevs human services, the member, approval: (i) amendment, revision or restatement of the corporation's articles of incorporation and bylaws; (ii) adoption and changes to the mission, purpose, philosophy or objectives; (iii) adoption of a plan of merger, dissolution, division, conversion or liquidation of the corporation; (iv) adoption of a plan to acquire substantially all the assets of another corporation or entity; (v) approval of any change in control in the corporation; (vi) approval of the annual capital and operating budgets of the corporation and any amendment thereto; (vii) approval of the incurrence of debt or capital expenditure or contractual obligation by the corporation in excess of ten thousand dollars ($10,000) whether in a single transaction or a series of related transactions, if such debt or capital expenditure or contract is not included in the corporation's approved budgets; (viii) consultation on employment of key senior management responsible for implementation of the approved budgets and programs of the corporation; (ix) approval of all staff and executive compensation and bonus policies and payment of bonuses in excess of amounts in the approved budgets; (x) approval of program or staff restructuring that will incur expenses over and above the approved budgets; (xi) approval of any transfer of the corporation's assets unless specifically authorized in the corporation's approved budgets; (xii) selection and appointment of the auditors and legal counsel of the corporation; (xiii) approval of all tax and/or regulatory filings and audited financial statements of the corporation; (xiv) initiation and approval of the formation or dissolution of a subsidiary of the corporation; (xv) initiation and approval of strategic plans of the corporation; (xvi) initiation and approval of investment policies of the corporation; and (xvii) initiation and approval of changes in name, corporate branding, logo, marketing policies of the corporation.

The form 990 is prepared by an independent accounting firm. The senior management team completes the initial review of the form 990. The form 990 is subsequently presented to the full board of directors for review, comment, and discussion. Following the board review process, form 990 is released for filing with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

All board members, senior management, key and highly compensated employees are required to complete a conflict of interest statement annually. The cfo of the member will review will review all conflict-of-interest statements completed and bring any conflicts disclosed to the attention of the finance committee of the member. The committee shall evaluate each conflict identified to determine whether the transaction or arrangement is in the corporation's best interest, for its own benefit, and whether it is fair and reasonable. After the committee has completed its analysis, it shall vote on whether to enter into the transaction or arrangement. Approval shall be by majority vote of directors or committee members free of the conflict under consideration.

Jevs hireability is a nonprofit entity as described in section 501(c)(3) of the internal revenue code (irc) as an organization, contributions to which are deductible under section 170(c) of the irc; and as an organization that is not a private foundation as defined in section 509(a) of the irc; and is exempt from federal and state income taxes. Accordingly, there is no provision for income taxes. The organization is not aware of any activities that would jeopardize its tax-exempt status or any activities that are subject to tax on unrelated business income. U.s. Gaap requires the recognition and measurement of uncertain tax positions. The organization believes it has taken no uncertain tax positions.
