Governance Explanations

Form 990, Part VI, Section A, Line 8B

Minutes of board meetings are taken at every meeting and approved, with any amendments at the following meeting. Minutes are not taken at the committee level because no committees have the authority to act on behalf of the entire board.

Form 990, Part VI, Section B, Line 11B

The treasurer reviews the form 990 from the preparer and makes any needed corrections. The treasurer presents the draft to the board. Upon approval by the board, the treasurer is authorized to file the 990.

Form 990, Part VI, Section B, Line 12C

At each board meeting, a request for any conflicts is requested. Board members are expected to state any conflicts. The board reviews the conflicts, and if a conflict exists, the affected board member is expected to recuse themselves from discussion and consideration of the matter.

Form 990, Part VI, Section B, Line 15

Currently, the executive director is the only employee. The board reviews compensation and budget constraints when determining the compensation of this employee.

Form 990, Part VI, Section C, Line 19

Governing documents, conflict of interest policy and financial statements are made available upon request.
