Military Charity Organization

“Military charity organization ("mco") articles of incorporation were amended by the board and adopted on march 28, 2019. Section 7 of the articles of incorporation was deleted in its entirety and replaced with the following: "the directors shall be elected or appointed pursuant to the terms of the corporation's bylaws." mco's bylaws were also amended by the board and adopted on march 28, 2019. The changes are the following: - article iv, section 2 shall be deleted in its entirety and replaced with the following: "the number of directors shall be fixed from time to-time by the directors but shall consist of no less than one (1) nor more than ten (10) including the following: the president, the vice-president, the secretary, and the treasurer. Members of the board of directors shall be elected by a majority of the directors then in office, when necessary, at any meeting of the board of directors or at any time where there is a vacancy on the board of directors for any reason. The members of the board of directors shall, upon election, immediately enter upon the performance of their duties and shall continue in office until their sucessors shall be duly elected and qualified. Newly elected members of the board of directors who have not previously served as an mco director, shall serve for an initial one-year term. At the conclusion of the initial one-year term, upon election, members of the board of directors may serve additional three-year terms. The terms of the directors shall be staggered so that at the time of each annual meeting, the terms of approximately one-third (1/3)of all members of the board of directors shall expire." - article iv, section 7 shall be deleted in its entirety and replaced with the following: "whenever any vacancy occurs on the board of directors it shall be filled without undue delay by majority vote of directors. Vacancies may be created and filled according to specific methods approved by the board of directors." - article iv, section 13 shall be deleted in its entirety and replaced with the following: "any member of the board of directors or members of the advisory council may be removed with or without cause, at any time, by a majority vote of the directors. A director may be removed only at a meeting called for the purpose of removing that director and in such event, the meeting notice shall state that the purpose or one of the purposes of the meeting is removal of the director. An officer who has been removed as a member of the board of directors shall automatically be removed from office."”
