Mission

By performing functions of or carrying out the purposes of community health center, inc., such purposes being to provide affordable comprehensive health and social services particularly to persons financially unable to obtain such services, to promote public health information and education, and to inform the community at large of the health problems in disadvantaged segments of the community and to encourage community support to solve those problems.

Carrying out the purposes of community health center, inc. ("chc") (see schedule o) chc realty ii, inc. Is organized and operated for the exclusive benefit of community health center, inc. ("chc"). Chc's charitable purposes are to provide affordable comprehensive health and social services particularly to persons financially unable to obtain such services, to promote public health information and education, to inform the community at large of the health problems in disadvantaged segments of the community and to encourage community support to solve those problems, and to receive, administer and distribute funds in connection with any activities related to the above purposes.

The corporation has a single member, community health center, incorporated, a connecticut nonstock corporation exempt from taxation under code section 501(a) as an organization described in code section 501(c)(3).

Form 990, Part VI, Section A, Line 7A

Chc shall have the exclusive power to elect directors of the corporation and to remove such directors, with or without cause, shall have the power to amend the corporation's bylaws, and shall have such other rights as are accorded to members under connecticut revised nonstock act, the certificate of incorporation or the bylaws.

Each member of the board receives a copy of the 990 for review before filing.

Chc realty ii, inc. Follows the conflict of interest policy of its sole member chc. Which is described below: each employee of chc has a duty to make full disclosure of any situation in which his or her private interests create a conflict or potential conflict with those of chc. It is important to remember that an appearance of conflict may be just as damaging to chc's reputation as a real conflict. In order that there is a common understanding of the importance of these matters, each employee shall be requested to sign a compliance form as an indication of understanding and compliance. Activities prohibited to an employee shall not be done, or knowingly permitted to be done, indirectly through relatives, friends or otherwise. Chc has adopted conflicts of interest policies applicable to its board of directors and its employees which are fully incorporated into, and made a part of its compliance program. On an annual basis conflict of interest forms are completed by officers, directors and trustees and reviewed by the legal department of chc and the executive committee of the board of directors. If there is a conflict of interest, the individual will recuse themself from all discussions relating to the potential activity.

Form 990, Part VI, Section B, Line 15

Line 15a the compensation of the executive director is determined by the chairman of the board after doing a review of their compensation and performance. Line 15b the officers other than the executive director are paid by a related organization, chc. To determine officer compensation of the ceo chc engaged an outside consultant to perform an independent compensation study in 2018. The consulting firm contacted several organizations, sent interview guides, and gathered compensation through phone interviews with survey organization principals. The information obtained through these interviews was supplemented with form 990 information from other identified comparable organizations. After this review was complete, the chc board discussed and approved the compensation. To determine compensation for other officers, chc followed the following procedure: the process to determine the compensation for other officers is for salary surveys to be performed by the cfo and hr director to ensure the organization's salaries are competitive. Using this input the president/ceo and vp/clinical director evaluates the performance of the individuals during the year and approves the salaries.

Financial Statement Notes

PART X, LINE 2:

Excerpt from note 1 of the consolidated financial statements for community health center, inc. - the organization has received exemption from federal income tax under section 501 (c) (3) of the internal revenue code. The organization has also been classified as an entity that is not a private foundation within the meaning of section 509(a) and qualifies for deductible contributions as provided in section 170(b)(1)(a)(vi). The organization accounts for uncertain tax provisions under fasb asc 740, income taxes, which provides a framework for how entities should recognize, measure, present and disclose uncertain tax positions in their financial statements. The organization may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by the taxing authorities, based on the technical merits of the position. Management has reviewed the organization's reporting and believe they have not taken tax positions that are more likely than not to be determined to be incorrect by the internal revenue service and therefore, no adjustments or disclosures are required. The organization is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods pending or in progress.

LINE 15B THE OFFICERS OTHER THAN THE EXECUTIVE DIRECTOR ARE PAID BY A RELATED ORGANIZATION, CHC. TO DETERMINE OFFICER COMPENSATION OF THE CEO CHC ENGAGED AN OUTSIDE CONSULTANT TO PERFORM AN INDEPENDENT COMPENSATION STUDY IN 2018. THE CONSULTING FIRM CONTACTED SEVERAL ORGANIZATIONS, SENT INTERVIEW GUIDES, AND GATHERED COMPENSATION THROUGH PHONE INTERVIEWS WITH SURVEY ORGANIZATION PRINCIPALS. THE INFORMATION OBTAINED THROUGH THESE INTERVIEWS WAS SUPPLEMENTED WITH FORM 990 INFORMATION FROM OTHER IDENTIFIED COMPARABLE ORGANIZATIONS. AFTER THIS REVIEW WAS COMPLETE, THE CHC BOARD DISCUSSED AND APPROVED THE COMPENSATION. TO DETERMINE COMPENSATION FOR OTHER OFFICERS, CHC FOLLOWED THE FOLLOWING PROCEDURE: THE PROCESS TO DETERMINE THE COMPENSATION FOR OTHER OFFICERS IS FOR SALARY SURVEYS TO BE PERFORMED BY THE CFO AND HR DIRECTOR TO ENSURE THE ORGANIZATION'S SALARIES ARE COMPETITIVE. USING THIS INPUT THE PRESIDENT/CEO AND VP/CLINICAL DIRECTOR EVALUATES THE PERFORMANCE OF THE INDIVIDUALS DURING THE YEAR AND APPROVES THE SALARIES.
