Form 990, Part VI, Line 15 PROCESS TO DETERMINE OFFICER & KEY PERSON COMPENSATION

The powers health board has adopted executive and board of directors compensation philosophy and reasonableness standards. This is to ascertain that these standards are adhered to. Their process for collecting and assembling market data is consistent with the rebuttable presumption checklist and guidelines along with fair market value used by the irs in conducting executive compensation reviews as well as contemporary compensation practices. All market data is assembled from reputable commercially available sources and updated annually. The most recent update occurred in may 2024.

Powers health is the parent company of powers health partners aco and has control to elect members of the governing body.

Form 990, Part VI, Line 7B Decisions requiring approval by members or stockholders

Powers health is the parent company of powers health partners aco and has rights to approve decisions made by powers health partners aco. Matters reserved to member. Notwithstanding any other provisions of these bylaws, the board of directors shall have no authority to take the actions listed below on behalf of corporation without obtaining approval of the member. These matters reserved to the member shall not limit the board's ultimate authority to execute the functions of the aco, including, but not limited to, how shared savings are used and distributed among the participating providers and others: a. Merge, sell or combine corporation with or into another entity; b. Incur indebtedness or capital expenditures in excess of a specified threshold; c. Dissolve or liquidate corporation; d. Sell, transfer or exchange all, or substantially all of the assets of corporation; e. Appoint and remove the executive director of the corporation; f. Appoint and remove the chief medical officer of the corporation; g. Approve any amendments or restatementsof these bylaws; h. Approve the budget of the corporation; i. Approve the strategic plan of the corporation; j. Approve the creation of additional classes of directors.
