The members of the board are employed or contracted directly by the diocese of wheeling-charleston or employed or contracted by wheeling hospital, inc which is an organization related to the diocese of wheeling-charleston.

The sole member of the corporation is the most reverend mark e. Brennan, as bishop of the roman catholic diocese of wheeling-charleston, and his successors in office. The bishop serves as the member in his capacity as bishop and on behalf of the diocese of wheeling-charleston. The most reverend mark e. Brennan was appointed as bishop in august 2019.

The member has the right, under the articles of incorporation, to appoint a majority of the members of the board of directors of the corporation. Pursuant to the bylaws, all directors are appointed by the member, any director may be removed by the member with or without cause, and all vacancies on the board of directors shall be filled by appointment of the member.

In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement. After disclosure and any discussion, the interested person shall leave the governing board meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board members shall decide if a conflict of interest exists. If the governing board has reasonable cause to believe that a person has failed to disclose actual or possible conflicts of interest, it shall inform them of the basis for such belief and afford them an opportunity to explain the alleged failure to disclose. If the governing board determines that the member has failed to disclose an actual or possible conflict of interest, it shall take appropriate corrective action. Each director, principal officer and member of a committee with governing board delegated powers shall annually sign a statement which affirms that they have received a copy of the conflicts of interest policy, have read and understand the policy, have agreed to comply with the policy and understand that in order to maintain the federal tax exemption, the corporation must engage primarily in activities which accomplish one or more of its tax-exempt purposes.
