“Vacancies on the board of directors may be filled at any time, as they arise, at a meeting of the board of directors by the affirmative vote of a majority of the directors present at such meeting.”

“The compensation of the organization officers and key employees is reviewed and approved by the board of directors. The officers and key employees are required to follow the conflict of interest policy. The board of directors documents the compensation arrangements. The compensation arrangements are based on information about compensation paid by similarly situated taxable or tax-exempt organizations for similar services, current compensation surveys compiled by independent firms, or actual written offers from similarly situated organizations.”

“Such documents are made available upon request.”

“The board shall authorize and oversee an annual review of the conflict of interest policy. The review may be written or oral. The review shall consider the level of compliance with the policy, the continuing suitability of the policy, and whether the policy should be modified and improved.”
