The Form 990 is prepared by an independent CPA. A draft of the prepared Form 990 is sent to the Organization's outside consultant and then to the Executive Director for comments. After any changes are made, the Form 990 is then forwarded to all Members of their Board for their review.

Form 990, Part VI, Section B, line 12C

Procedures Related to Conflicts of Interest 3.1 Duty to Disclose In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement 3.2 Determining Whether a Conflict of Interest Exists After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. 3.3 Procedures for Addressing the Conflict of Interest (a) An interested person may make a presentation at the governing board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. (b) The chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. (c) After exercising due diligence, the governing board or committee shall determine whether KINDRED, INC. can obtain with reasonable efforts an equal or more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. (d) If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the corporation's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination it shall make its decision as to whether to enter into the transaction or arrangement. 3.4 Violations of the Conflicts of Interest Policy (a) If the governing board or committee has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose. (b) If, after hearing the member's response and after making further investigation as warranted by the circumstances, the governing board or committee determines the member has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action.

IRS990/Desc0Kindred works with parents in diverse early childhood centers and schools to build relationships with one another in service of closing the opportunity gap. We approach our work through three activities.1. Parent dialogue-to-action fellowshipsWe create safe spaces to develop empathy and cultural competency.Kindred brings together 15-20 parents per school who represent the racial and socioeconomic diversity of the student body to meet twice per month over the school year. During these meetings, parents bond through facilitated dialogues about identity, race, equity and aspirations for their children. Their bonds lead them to support each other with ideas and resources to raise their children with the values and skills to succeed in the 21st century economy. In the second year, with Kindred's support, these founding elementary school parents lead their own discussion groups, multiplying impact and reaching approximately 20 percent of the parent population by the end of year.2. Parent-driven actionsWe address the root causes of the opportunity gap.Kindred helps parents convert the empathy and cultural competency strengthened through parent fellowships into actions that address the root cause of the opportunity gap in their schools. The issues and actions are identified by parents, and may include a range of interventions, from making family school events more inclusive, to developing new ways for parents to build relationships, to creating specific academic programs that provide extra resources to students who need them.3. Sustained ImpactWe build equity-driven parent organizations.Kindred supports parents to transform their school's parent organizational bodies into equity-driven action groups. For example, parent-teacher organizational leadership and membership would change to reflect the school's diversity, and the voices of traditionally marginalized families would influence decisions such as how the school's budget should be allocated. In the broader community, a diverse coalition of families will fight together for policy changes that support equity and diversity in schools.In the future, Kindred is considering building a membership network of parents to work together to close the opportunity gap across all schools.Kindred currently operates in Washington, DC and plans to work with schools in other locations in the future.These activities collectively further our exempt purposes by uniting parents of diverse backgrounds to address educational inequality among children, which disproportionately affects children of color from lower income backgrounds. Kindred's purpose is outlined in our Articles of Incorporation, Article II, Part A. Approximately 80 percent of Kindred's time is allocated toward the aforementioned activities. The remaining 20 percent supports our operations, including fundraising. Kindred is funded by contributions from schools, individual donations and foundation donations.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt1Procedures Related to Conflicts of Interest 3.1 Duty to Disclose In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement 3.2 Determining Whether a Conflict of Interest Exists After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. 3.3 Procedures for Addressing the Conflict of Interest (a) An interested person may make a presentation at the governing board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. (b) The chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. (c) After exercising due diligence, the governing board or committee shall determine whether KINDRED, INC. can obtain with reasonable efforts an equal or more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. (d) If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the corporation's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination it shall make its decision as to whether to enter into the transaction or arrangement. 3.4 Violations of the Conflicts of Interest Policy (a) If the governing board or committee has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose. (b) If, after hearing the member's response and after making further investigation as warranted by the circumstances, the governing board or committee determines the member has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action.
