Excerpted from bylaws: article v - conflict of interest section 1. Annually, all members of the board of directors shall review the conflict of interest policy and complete and sign a document disclosing all business and personal relationships and other affiliations that could result in possible conflicts of interest related to the transaction of business of the board. Section 2. A conflict of interest is present when there is opportunity to influence decisions in ways that could lead to personal benefit or improper advantage resulting in the compromise or appearance of compromise of a board member's judgment and/or ability to carry out his/or her responsibilities to the corporation. Section 3. Individual directors shall declare such a conflict prior to board discussion of an issue where a possible conflict of interest may arise and shall excuse him/herself from participating in any discussion leading to vote on a subject in which the conflict of interest may be present section 4. Board members are prohibited from receiving compensation for serving on the board; receiving direct compensation for providing services to the corporation; or being employed by the corporation. Section 5. Immediate family members of board members are prohibited from being employed by the corporation. Immediate family members include parents, spouses, siblings, children, and grandchildren.

SECTION 2.
