The compensation committee: chair, s. Todd; members, g. Gest, p. Cafaro, a. Scott. All members of the audit and compensation committee are on the governing board. The audit committee is composed of all independent directors of the board and is authorized to make the final decisions. The compensation committee is charged with considering comparables for all positions that appear on the form 990, reviewing with the ceo performance of the persons in those positions, and recommending compensation each year. Those recommendations are presented to the full board which votes to accept or modify.”

“All officers, key employees, and directors are required to sign an annual conflict of interest agreement. This is done annually at our fall/september meetings. The comptroller is charged with monitoring our conflict of interest policy. She communicates with each board member annually and requires them to update their conflict of interest reporting/form. When a conflict or potential conflict arises, it is brought to the full board for discussion and decision.”
