Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee is chaired by the chair of the organization and consists of all of the other officers. This committee serves as the central planning group for the organization and as advisor to the staff. It also has full authority of the board during the intervals between meetings of the board.

The by-laws of the organization prescribe that a minority of the board of directors shall be university members appointed by the president of arizona state university.

Before filing the 990 with the irs, copies of the return are provided to all members of the board. Comments are made by the board members and any necessary changes are made to the 990 before filing.

The compliance with the conflict of interest policy is monitored and enforced by requiring board members to sign a statement each year that is reviewed by the chair and maintained in the board file.

Form 990, Part VI, Section B, Line 15

The compensation for the center for the future of arizona ("center") is designed to: (i) support the center's mission, strategy and values; (ii) ensure compliance with the provisions of the i.r.s. Code applicable to section 501(c)(3) organizations relating to compensation; and (iii) maintain public confidence in the integrity of the center due to the rigor and thoroughness of its deliberations. Board member compensation: the center does not compensate its board members for serving in such capacity, but may from time to time pay compensation for additional services rendered to the center. Any compensation paid to board members for services provided to the center in addition to the services they provide as board members would be separately determined subject to the center's conflict of interest policy. Executive and staff compensation: the objectives of the center's executive and staff compensation policies are to attract, retain, motivate and reward executive officers and staff who contribute to the center's success in fulfilling its mission. Accordingly, the center considers the following in setting executive and staff compensation: the president & ceo of the center for the future of arizona is an employee of the arizona state university foundation, serving as a loaned executive to the center for the future of arizona. Compensation and benefits for the president & ceo, paid by the asu foundation, are included as reportable compensation in the center for the future of arizona's form 990. The center for the future of arizona did not reimburse arizona state university foundation for any of their compensation. The key employee and officer are compensated by arizona state university. Their compensation is determined by the university in adherance with policies of the university and applicable university governance. The center for the future of arizona reimbursed arizona state university $136,945 and $152,740 of their compensation.
