The board of directors delegate broad authority to the executive committee to act on their behalf between board of directors meetings. The committee consists of the chair, past chair, chair elect, secretary/treasurer, president and one elected board member. All members of the executive committee are members of the board of directors.

The organization has the following types of memberships. Type i: available to licensed in-state hospitals equipped and staffed to provide medical and nursing care twenty-four hours a day, seven days a week and emergency services twenty-four hours a day, seven days a week through an emergency department and to licensed in-state psychiatric hospitals, licensed in-state rehabilitation hospitals and licensed in- state long term acute care hospitals equipped and staffed to provide medical and nursing care twenty-four hours a day, seven days a week and necessary emergency services twenty-four hours a day, seven days a week either directly or through a transfer agreement to another facility. Type i-a: available to idaho-based health systems which own or operate more than one type i member hospital. An idaho-based health system is a health system whose chief executive officer or its equivalent executive officer resides in idaho. Type ii: available to federal and state hospitals which provide inpatient care and otherwise meet the criteria of type i membership. Type iii: available to out of state hospitals which provide inpatient care and otherwise meet the criteria of type i membership. Type iv: available to non-hospital organizations interested in the purpose of the association, but not eligible for type i, ii, or iii membership, provided these organizations qualify in accordance with such regulations as the board of directors may promulgate from time to time. In addition to the institutional memberships, honorary personal membership may be granted, at the discretion of the board of directors, to any former chair of the board of directors upon retirement from the board of directors. Other persons of distinction may be granted honorary personal membership by the board of directors on an annual basis. Honorary personal members pay no dues.

The board of trustees is composed of both trustee members and leadership members. Trustee representatives the trustee representatives of the board of directors reside in the state of idaho and are elected by official mail or electronic ballot upon nomination by the nominating committee no later than 30 days after the annual meeting by type i and ii members. Leadership council representatives for purposes of election of representatives to the board of directors, the membership of each leadership council is deemed a representative geographical region. One representative to the board of directors representing the northern leadership council, two representatives to the board of directors representing the southwest leadership council, and two representatives to the board of directors representing the southeast leadership council are elected by official mail or electronic ballot upon nomination by the nominating committee no later than 30 days after the annual meeting and vote by type i and ii members.

A copy of the 990 is provided to the vp of finance and the president/ceo who review the form, schedules and related attachments. Any comments or questions are addressed with the preparer. Once management is satisfied with the 990, approval is given to e-file the return.

Form 990, Page 6, Part VI, Line 12C

Each january, idaho hospital association board members, president/ceo, and senior leadership team staff members complete and sign an annual questionnaire related to conflicts of interest that asks about their and their families' assets and sources of income, liabilities, outside positions, gifts, and reimbursed travel. Actual conflicts are to be reviewed by the board and/or iha's legal counsel. In addition, at the beginning of every board meeting (or executive committee meeting), the chair asks anyone in attendance to disclose any potential actual or perceived conflict, and either excuse themselves from the discussion of applicable agenda items and/or abstain from voting depending on the nature of the conflict if one is found to exist.

The board of directors evaluates the president/ceo's performance based on goals set at the prior year's evaluation. Compensation is set through comparable data including aha state association executive salary surveys. The process is undertaken annually in june at the mid-year membership meeting and documented in the board minutes.

Form 990, part iii, line 4a - first accomplishment continued advocated successfully for a new "assistant physician" category and created a three-year limited license for assistant physicians who are within three years of graduation from an accredited medical school. Those with a limited license can apply for an unrestricted license to practice as a general practitioner after meeting education and practice requirements. Advocated successfully for budget enhancements for the residency program, including an additional dental student, a child psychiatry resident seat at the university of utah, and new residents and a new fellow in nampa. Advocated successfully to incentivize nurses, physicians, and physician assistants to become preceptors for primary care graduate students by offering continuing education credits to preceptors. Form 990, part iii, line 4b - second accomplishment continued idaho hospitals received education and technical assistance to improve quality of care.

Schedule D, Page 3, Part X

The association is organized as an idaho nonprofit corporation and has been recognized by the internal revenue service (irs) as exempt from federal income taxes under section 501(a) of the internal revenue code as an organization described in section 501(c)(6), business league and member organizations. The association is annually required to file a return of organization exempt from income tax (form 990) with the irs. In addition, the association is subject to income tax on net income that is derived from business activities that are unrelated to its exempt purpose. The association files an exempt organization business income tax return (form 990-t) with the irs to report its unrelated business taxable income. Iha believes that it has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. Iha would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.

THE ASSOCIATION IS ANNUALLY REQUIRED TO FILE A RETURN OF ORGANIZATION EXEMPT FROM INCOME TAX (FORM 990) WITH THE IRS. IN ADDITION, THE ASSOCIATION IS SUBJECT TO INCOME TAX ON NET INCOME THAT IS DERIVED FROM BUSINESS ACTIVITIES THAT ARE UNRELATED TO ITS EXEMPT PURPOSE. THE ASSOCIATION FILES AN EXEMPT ORGANIZATION BUSINESS INCOME TAX RETURN (FORM 990-T) WITH THE IRS TO REPORT ITS UNRELATED BUSINESS TAXABLE INCOME. IHA BELIEVES THAT IT HAS APPROPRIATE SUPPORT FOR ANY TAX POSITIONS TAKEN AFFECTING ITS ANNUAL FILING REQUIREMENTS, AND AS SUCH, DOES NOT HAVE ANY UNCERTAIN TAX POSITIONS THAT ARE MATERIAL TO THE FINANCIAL STATEMENTS. IHA WOULD RECOGNIZE FUTURE ACCRUED INTEREST AND PENALTIES RELATED TO UNRECOGNIZED TAX BENEFITS AND LIABILITIES IN INCOME TAX EXPENSE IF SUCH INTEREST AND PENALTIES ARE INCURRED.
