Nbhwc has two classes of membership: "class a and "class b". Any person who accepts election or appointment as a director of the corporation pursuant to the bylaws is a "class a" member. The "class a" members vote as a class. The national board of medical examiners, inc. Is the "class b" member.

The members elect the directors of the organization.

Amendments to the governing documents are subject to approval of two-thirds of the directors, subject to the approval of the class b member, the national board of medical examiners, inc.

The form 990 was prepared by the outside accountants and sent via email to the board of directors for review prior to filing with the irs.

Form 990, Part VI, Section B, Line 12C

Board members, officers, and key employees, if any, complete a conflict of interest questionnaire prior to taking office and/or beginning employment and annually thereafter. Each covered person updates the questionnaire as necessary to reflect changes during the course of the year. When a covered person becomes aware of a previously undisclosed current or proposed covered transaction, he or she has a duty to immediately disclose the existence and circumstances of such covered transaction, in writing, to the board of directors or any applicable committee. When a covered person is the covered person in a proposed covered transaction (the "interested covered person"), he or she must: (a) refrain from using his or her personal influence to encourage the corporation to enter into the covered transaction; and (b) physically excuse himself/herself from participation in any discussions regarding the covered transaction with officers and employees of the corporation and at meetings of the board or any applicable committee, except to respond to requests for information about the covered transaction.

The board of directors set the compensation of the executive director. The board compared other similar sized non-profits compensation for their executive directors in its review. It also weighed the responsibilities of the executive director to arrive at a fair compensation amount. The last compensation review took place in april 2024.

Both leigh-ann webster, executive director, and nicole pope, director of operations, received 1099 payments for contract work on a grant. This work was in addition to their roles as executive director and director of operations of nbhwc. The contractor payments are reported in part vii, section a, in addition to their w-2 compensation for serving as nbhwc's executive director and director of operations, respectively.
