Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee shall be constituted and shall have such powers and duties as may be set forth in these bylaws or as the board may determine, consistent with the provisions of these bylaws. Except as otherwise directed by the board, the executive committee shall have and may exercise, between meetings of the board, all of the powers of the board in the management of the affairs of the corporation, including but not limited to: the power to authorize the seal of the corporation (if any) to be affixed to all papers which may require it, in such manner as the executive committee shall deem for the best interests of the corporation; and the power to annually evaluate the executive director. The executive committee has the power to make decisions on behalf of the board when the board is otherwise unable to meet, except as otherwise provided in these bylaws. A majority of the members of the executive committee shall constitute a quorum for the transaction of business at any meeting thereof and, except as otherwise provided by law or these bylaws, the act of a majority of the members of the executive committee present at any meeting at which a quorum is present shall be the act of the executive committee. The secretary of the board shall be the secretary of the executive committee. The executive committee shall have the power to act as such, within its powers and rules, notwithstanding the failure of the board at any time and for any reason to appoint as members of the executive committee all of those persons designated to serve thereon.

The following circumstances shall be deemed to create conflicts of interest: a. Outside interests. (i) a contract or transaction between end homelessness california and a responsible person or family member. Not more than 50% of the persons serving on the board of directors at any time may be responsible persons. B. Outside activities. (i) a responsible person competing with end homelessness california in the rendering of services or in any other contract or transaction with a third party. Procedures a. Before board or committee action on a contract or transaction involving a conflict of interest, a director or committee member having a conflict of interest and who is in attendance at the meeting shall disclose the facts to the conflict of interest. Such disclosure shall be reflected in the minutes of the meeting. B. A director or committee member who plans not to attend a meeting at which he or she has reason to believe that the board or committee will act on a matter in which the person has a conflict of interest shall disclose to the chair of the meeting all facts material to the conflict of interest. The chair shall report the disclosure at the meeting and the disclosure shall be reflected in the minutes of the meeting. C. A person who has a conflict of interest shall not attempt to exert his or her personal influence with respect to the matter, either at or outside the meeting. D. Responsible persons who are not members of the board of directors of end homelessness california or who have a conflict of interest with respect to a contract or transaction that is not the subject of board or committee action, shall disclose to the chair or the chair's designee any conflict of interest that such responsible person has with respect to a contract or transactions. Such disclosure shall be made as soon as the conflict of interest is known to the responsible person. The responsible person shall refrain from any action that may affect end homelessness california's participation in such contract or transaction. In the event it is not entirely clear that a conflict of interest exists, the individual with the potential conflict shall disclose the circumstances to the chair or the chair's designee, who shall determine whether there exists a conflict of interest that is subject to this policy.

Additional Explanations

Form 990, Part III, Line 2

Launched in november 2024 as part of los angeles county's pathway home initiative, the pilot site accommodates up to 14 rvs for stays of up to six months. Participants receive daily meals, access to mobile bathrooms and showers, case management, and housing navigation services, along with 24-hour security and utility hookups. By offering a dignified and structured alternative to street parking, the program improves health and safety, reduces displacement and citations, and helps residents move toward permanent housing solutions. Operated in partnership with the county and community providers, the program also serves as a model for replicable safe parking efforts that can alleviate the humanitarian and community impacts of rv encampments across los angeles.

Form 990, Part III, Line 4B

Since launching in april 2019, the program has provided services to a total of 26,147 parking slots across our two lots. In 2024 alone, the number of unique guests served grew by 42% year over year, reaching 6,676 guests compared to 4,705 the previous year. The safe parking program played a vital role during the covid-19 pandemic by helping participants transition to emergency programs like project roomkey and continues to help participants by connecting many to interim and permanent housing opportunities through our case management.

FORM 990, PART III, LINE 4C, DESCRIPTION OF PROGRAM SERVICE:

Participation requires students to stay actively enrolled in college, maintain academic progress, and meet work or volunteer commitments. Since inception, hope housing has served 105 unique students, whose average gpa is 2.90. These students also had over +1200 individual check-ins with program staff to ensure that they were getting all the support they needed while in our program. Students also completed over 17,000 collective work hours, with all of the money earned going towards their own needs to be able to successfully transition from hope housing once they finish their community college careers. The program currently operates in 5 homes located in east la, rosemead, pasadena, cypress, and long beach, serving students from los angeles community college district, pasadena city college, and long beach city college. Many alumni have gone on to secure permanent housing, stable employment, and continued educational success thanks to the individualized support and community provided. Students have been accepted to the following universities including but not limited to: uc berkeley, ucla, university of florida, cal state la, cal state northridge, cal state long beach, charles drew university, texas state university.
