This agreement was ratified on march 21, 2019. Make room's method of accounting in prior filings of irs form 990 has been accrual basis. While generally accepted accounting principles would require liquidation basis of accounting as of december 31, 2018, as the plan was approved as of december 28, 2018 and the plan included the intent to transfer any residual net assets to nlihc and that transfer of net assets occurred during 2019, it is the position of make room management and its board of directors that, as of december 31, 2018, make room had forfeited the rights to any residual net assets and was essentially fully liquidated as of december 31, 2018.”
