“HISTORY OF CATALYST TRUST: The Catalyst Foundation for Universal Education, Inc. ("Catalyst") was originally incorporated as a private limited company in August 2016 in the United Kingdom ("U.K."), as The Catalyst Trust for Universal Education, a U.K. charity. On October 6, 2016, Catalyst was incorporated as a Delaware not-for-profit organization and, in September 2017, Catalyst was granted tax exempt status under Section 501(c)(3) of the U.S. Internal Revenue Code and is also exempt from state and local taxes under comparable laws. During 2017, Catalyst's Board sought to dissolve the U.K. charity. In October 2017, Catalyst received notice that the dissolution had been approved and became effective February 1, 2018.”

“Catalyst was formed exclusively for charitable and educational purposes. In furtherance of such purposes, Catalyst works to: (i) foster, support promote, and conduct activities designed to provide and expand access to safe, high-quality education worldwide, particularly for those populations of children and youth affected by war, conflict, prejudice, poverty, or isolation, and (ii) to increase global understanding of the critical lack of education facing such populations around the globe and to advocate for solutions to address the myriad of challenges facing education today. Catalyst supports projects that benefit children and youth in countries around the world, including, to date, projects in Bangladesh, Guinea, Iraq, Jordan, Palestine, and Slovakia, among others. The majority of Catalyst's initiatives are currently focused on addressing the educational challenges of refugees, particularly Syrian refugees in the Middle East.”

ASU 2016-14 AMENDS THE FINANCIAL STATEMENT PRESENTATION OF THE NET ASSET CLASSIFICATION FROM THE PREVIOUS CATEGORIES OF "UNRESTRICTED", "TEMPORARILY RESTRICTED", AND "PERMANENTLY RESTRICTED" TO THE NEW CATEGORIES OF "WITHOUT DONOR RESTRICTIONS"WITH DONOR RESTRICTIONS". AS A RESULT, CATALYST'S DECEMBER 31, 2018 FINANCIAL STATEMENTS REFLECT ASU 2016-14'S PRESENTATION OF THE NET ASSET CLASSIFICATIONS AS "WITHOUT DONOR RESTRICTIONS"WITH DONOR RESTRICTIONS". AS NOTED BY THE IRS IN THE INSTRUCTIONS TO THE FORM 990, PART X OF THE FORM, THE IRS WILL CONTINUE TO UTILIZE THOSE NET ASSET CLASSIFICATIONS PRIOR TO THE ADOPTION OF ASU 2016-14, AND THE IRS ACKNOWLEDGES THAT ORGANIZATIONS WILL HAVE A DIFFERENT STRUCTURE IN THE FORM 990 FROM THAT WHICH IS REPORTED WITHIN THEIR AUDITED FINANCIAL STATEMENTS.”
