Governance Explanations

Form 990, Part VI, Section B, Line 11B

The exempt organization returns are prepared by an outside accounting firm. After completion of said returns, the organization is sent a draft of the exempt organization returns to be reviewed and examined internally. The organization makes copies of the returns and distributes them to the board of directors. An affidavit is then signed to authorize the outside accounting firm to process, sign and provide copies of the returns to be filed with the designated governmental agencies. Before the exempt organization returns are filed, a final exempt organization return copy is forwarded to all board members. The executive directors and their boards will review the form 990. Additionally, the audit committee, finance committee and the board of directors of grid, inc. Review the affiliate form 990's. The exempt organization returns are then filed by the organization.

All new board members and key employees are required to submit a conflict of interest disclosure form as part of their application process and to update this form annually.

Form 990, Part VI, Section B, Line 15

An ad hoc committee is formed by the board at the end of each year to review the executive director and set their salary for the following year. The committee reviews the performance of the executive director as well as salary surveys for relevant comparable salary levels in the non-profit field. The committee makes a recommendation to the full board, and the board votes to approve salary adjustments. The salary adjustment is then presented to the executive director.

PART X, LINE 2:

Accounting principles generally accepted in the united states of america require management to evaluate the tax positions taken by the organization and to recognize a tax liability if the organization has taken an uncertain position that more likely than not would not be sustained upon examination by the internal revenue service. Management has analyzed the tax positions taken by the organization and has concluded that, as of december 31, 2018, there are no uncertain positions taken, or expected to be taken, that would require recognition of a liability or disclosure in the consolidated financial statements. The organization is subject to routine audits by the taxing jurisdictions; however, there are currently no audits for any tax periods in progress. The organization believes it is no longer subject to income tax examinations for the fiscal years prior to 2015.
