A.how officers, directors, etc. Are required to disclose interests that would cause conflicts for the nonprofit.each board member signs an agreement at the beginning of the year to identify any conflict of interest that should arise in board deliberations. The agreement requires board members to identify any potential conflicts they believe could arise, e.g., their place of employment, another governing board on which they sit, etc. The board chair has a copy of the agreements and is ready to question if there is a perception of conflict.b.states that the organization will regularly monitor and enforce compliance with the policy

The board of directors and executive committee conduct an annual performance evaluation of the executive director. In that process, they survey staff and external stakeholders for quality of performance vis a vis the position description. In determining compensation, the executive committee reviews the salary as it relates to similar positions rated in the minnesota nonprofit salary and benefits survey, a document published by the minnesota council of nonprofits. The executive leadership staff reports to the full board of directors and makes the salary recommendation based on the above.
