Governance Explanations

Governing body meeting documentation Part VI line 8A

Minutes are taken for all board meetings. The prior meetings minutes are distributed to the board in advance of the meeting. Any necessary changes are made and a vote is taken to approve the minutes as stated or restated. If a meeting is virtual, minutes are taken as well as the meeting being recorded. Both the meetings minutes and recordings are available on a shared Google Drive for the board members to refer to at any time.

The same procedures used to document board meetings are used to document committee meetings. There currently are no active committees.

Form 990 governing body review Part VI line 11

The 990 was provided to the full board electronically prior to its filing. The board was asked to review the 990 and submit any questions over the next week. the Treasurer and the return preparer reviewed the 990 with the board and asked if there were any questions or mistakes identified. After all questions are answered and errors corrected, a vote is taken asking the board members to accept the 990 and authorize it be filed.

Conflict of interest policy compliance Part VI line 12C

Annually the board is asked to review the organizations conflict of interest, whistleblower and code of ethics policies. They submit their acknowledgement and approval of the policies in writing to the Board Chair. If any board member has a potential conflict or is aware of a potential conflict, it is discussed at the next board meeting. If deemed to be a true conflict, that board member excuses themselves from all decisions related to the topic involving the conflict.

In conjunction with the annual budget approval for the upcoming year, the board reviews the Executive Directors performance. This is done without the Executive Director present. The Board Chair and Treasurer research salary ranges of similar organizations using other 990s and salary surveys. The Board discusses reasons for any variance in the Executive Directors salary and benefits. Once the salary has been approved, it is documented in the meeting minutes including any reasoning for a variance from the norm if applicable.

As part of the budget approval process, the board of directors reviews the budgeted payroll and benefits for all employees. There is a discussion of the reasonableness of the compensation and how it compares to other similar positions with other similar organizations.

990 Part XI line 6 - Donated Services: TRC tracks the following donated services which are not included in TRCs financials:Accounting and Tax Preparation Services by a CPA: $4,533. There are $36,000 worth of donated goods in revenues. These goods are given to each person we find long term housing for and are called Move In Kits. Each kit is valued at $500 for 72 kits and includes an assortment of new household goods and small appliances, personal hygiene goods and other staples.

IRS990/Desc0Roads to Recovery - Providing case management for the most complex cases; those individuals who have had repeated encounters with law enforcement, the court system, and incarcertion; who experience substance abuse disorders, acute behavorial health problems, and homelessness. We meet with them at least once a week to provide housing, food, clothing, transportaion, cell phones and other basic needs. We also facilitate finding and obtaining medical, mental, behavorial health, and recovery services. When appropriate, our team helps find them employment, assisting with resumes, job searches, and work clothing as well as long term housing. In 2024, our team worked with 90 individuals consistently and another 40 on an as needed basis, finding 23 employment.

IRS990/ProgSrvcAccomActy2Grp/Desc0Housing Stability Case Management - Providing continuing support to over 100 of our disabled clients from the past 5years, who were chronically unhoused. We found them housing and employment where possible and now continue to check in with them to make sure they have the resources and community support to remain secure and stable. We check in regularly with 52 individuals and annually with another 50-60. The assistance we provide ranges from all kinds of basic needs (food, phones, transportation, vital records) to medical & mental health services and help with employment (job searches, resumes, work clothes). Knowing that not all things are solved by a house, TRC continues to check in & work with these families and individuals as they move forward to make sure they dont feel isolated or abandoned.

If deemed to be a true conflict, that board member excuses themselves from all decisions related to the topic involving the conflict.

This is done without the Executive Director present. The Board Chair and Treasurer research salary ranges of similar organizations using other 990s and salary surveys. Once the salary has been approved, it is documented in the meeting minutes including any reasoning for a variance from the norm if applicable.
