Form 990, Part VI, Section A, Line 4

The organization amended its articles of incorporation in order to change its name to yuma enterprise services, inc. The organization amended its bylaws to provide that board members shall serve two three-year terms with the opportunity to transition into an emeritus status. At the end of the one-year, members may be eligible for re-election and will be required to reapply.

Form 990, Part VI, Section B, Line 11B

A draft of the form 990, including all schedules, is provided to members of the finance committee for review. Upon their recommendation, the draft is submitted for approval to the board of directors. The form 990 is released for filing after it is approved by the board of directors.

Form 990, Part VI, Section B, Line 12C

The organization has adopted the conflict of interest policy of its related organization achieve human services, inc. The board of directors, officers and employees must conduct themselves in the best interest of the organization, without consideration of their own personal interests. Any potential conflict of interest must be disclosed to the board of directors or the president/chief executive officer. The board of directors will discuss and vote on whether a conflict of interest has occurred. The meeting minutes will reflect the decision and state that the individual in question did not participate in the vote. The chair of the board of directors sends a copy of the conflict of interest policy and disclosure of potential conflict of interest questionnaire to all members of the board, officers, and employees to be completed and returned. This is done annually.

The president/chief executive officer of the organization is compensated by a related organization, achieve human services, inc. The president/chief executive officer is reviewed annually by the personnel policy and procedure committee of the board of directors. Salaries of positions held in similar non-profit organizations of equivalent size are researched for equity. A recommendation is developed and submitted to achieve human services, inc.'s full board for approval.

Financial statement asc 740 footnote: the organization is exempt from income taxes under both federal internal revenue code section 501(c)(3) and arizona income tax laws, and is classified as other than a private foundation under section 509(a)(2).
