As part of its startup activities, per its proposal to the government, the Organization (ARMI) does not pay compensation to some of its officers. Instead, these officers are compensated by member organization DEKA, an unrelated third party, through a government cost share agreement between ARMI and DEKA. DEKA does not treat these compensation payments as a charitable contribution to ARMI; therefore, the compensation is not required to be shown on Part VII, Section A, Line 1a.

The 2022 Form 990 is being amended for thoroughness and consistency. 1. Schedule L is amended to provide additional detail in Part V. 2. Part VI, Line 2 of Schedule O is updated.

Financial Statement Notes

Part X, Line 2:

ARMI, Inc. is a not-for-profit corporation, as described under Section 501(c)(6) of the Internal Revenue Code, exempt from federal and state income taxes on income related to the fulfillment of ARMI, Inc.'s mission. Accordingly, no income tax expense for ARMI, Inc. has been reported in these financial statements. BioIndustries is a taxable entity and files a federal income tax return. Deferred taxes related to BioIndustries are based on the difference between the financial statement and tax basis of assets and liabilities using enacted tax rates in effect in the years the differences are expected to reverse. Management has evaluated BioIndustries' tax positions and determined that there are no tax positions requiring accounting recognition. Income tax returns filed by BioIndustries are subject to examination by the Internal Revenue Service for a period of three years. While no income tax returns are currently being examined by the Internal Revenue Service, the two previous tax years remain open. No interest or penalties from federal or state tax authorities were recorded in the accompanying consolidated financial statements.

Provides wrap-around commercialization services for tissue engineering and enabling technology companies. These efforts de-risk and accelerate translation of impactful technologies to market. Funds technical projects that address many of the common manufacturing challenges faced by companies in the field of tissue engineering. This will allow tissue engineering and enabling technology companies to focus their time and resources on product-specific challenges, moving the entire industry forward more quickly and efficiently. Funds education and workforce development (EWD) projects that address the industry need for trained employees with a broad base of biomanufacturing skills and specific expertise. This pressing need can otherwise constrain the growth of tissue engineering and enabling technology companies. In coordination with organizations in the field of regenerative manufacturing, develops roadmaps of technical and EWD needs for the field. These roadmaps guide the work of organizations in the field of regenerative manufacturing and guide the selection of projects. Hosts, sponsors, and participates in conferences and workshops that convene organizations that support regenerative manufacturing. These events allow for shared learning related to technical, regulatory, workforce, and financial challenges and solutions. Accordingly, no income tax expense for ARMI, Inc. has been reported in these financial statements. BioIndustries is a taxable entity and files a federal income tax return. Deferred taxes related to BioIndustries are based on the difference between the financial statement and tax basis of assets and liabilities using enacted tax rates in effect in the years the differences are expected to reverse. Management has evaluated BioIndustries' tax positions and determined that there are no tax positions requiring accounting recognition. Income tax returns filed by BioIndustries are subject to examination by the Internal Revenue Service for a period of three years. While no income tax returns are currently being examined by the Internal Revenue Service, the two previous tax years remain open. No interest or penalties from federal or state tax authorities were recorded in the accompanying consolidated financial statements.
