The conflict of interest policy is reviewed by the board of directors at each annual meeting. To ensure the corporation operates in a manner consistent with charitable purposes and does not engage in activities that could jeopardize its tax-exempt status, periodic reviews shall be conducted. If the governing board or committee has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose. If, after hearing the member's response and after making further investigation as warranted by the circumstances, the governing board or committee determines the member has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action.

Before approving the compensation of the executive director, the executive committee shall determine that the total compensation to be provided to the executive director and that it is reasonable in amount in light of the position, responsibility and qualification of the executive director for the position held, including the result of an evaluation of the executive director's prior performance. At the time of the discussion and decision concerning the individual's compensation, the individual should not be present in the meeting. The board shall obtain and consider appropriate data concerning comparable compensation paid to similar executive director in like circumstances. PART X, LINE 2:

The organization is incorporated as a not-for-profit organization under the laws of the state of indiana and is exempt from federal and state income taxes pursuant to provisions of section 501(c)(3) of the internal revenue code, and is not considered a private foundation. The organization follows the accounting guidance for uncertainty in income taxes. The standard clarifies the accounting for uncertainty in income taxes by prescribing the recognition threshold a tax position is required to meet before being recognized in the financial statements. It also provides guidance on derecognition, classification, interest and penalties, accounting in interim periods, disclosure, and transition. Management believes that the organization has no material uncertainties in income taxes. With few exceptions, the organization is no longer subject to tax examinations by the u.s. Federal, state, or local tax authorities for years prior to 2021.

WE RESCUE, STORE AND DELIVER THIS FOOD AT NO COST TO THE AGENCIES THAT ARE IN OUR NETWORK. WE DO THIS SO LESS PEOPLE, ESPECIALLY KIDS, GO HUNGRY AND TO REDUCE THE HARMFUL IMPACT THAT FOOD WASTE HAS ON THE ENVIRONMENT. DURING THE FISCAL YEAR ENDING 06/30/2025, THE CCFN PROGRAM DONATED 4,398,275 MILLION POUNDS OF PERISHABLE FOOD ITEMS AND 292,553 FROZEN MEALS TO APPROXIMATELY 200+ PANTRIES AND SOCIAL SERVICE AGENCIES AND 70 SCHOOLS LOCATED IN THE INDIANA COUNTIES OF ST.
