Hgi operates and manages operations of gipc, providing personnel, legal and accounting services, and overall administration of the daily operations. Hgi shall select, hire and provide sufficient personnel, whether full or part-time, for the performance of its duties hereunder so as to carry out the business of gipc. Hgi shall select, hire, supervise, direct the work of and discharge all other personnel necessary for the operation of gipc. Hgi will not manage or control the board of directors of gipc, which board shall continue to monitor the services provided by hgi and make all decisions related to the continuation thereof. As of september 1, 2020, hgi entered into a management services agreement with alivia care, inc., a florida not for profit corporation exempt from taxation under section 501(c)(3) of the irs code. Nonclinical management services provided include compliance/quality oversight, business development and intelligence, human resources, information technology, and marketing. This agreement was amended and extended on january 1, 2023.

The organization's accounting department gathers information for the preparation of the form 990 and consults with the cfo on certain matters. Prior to filing with the irs, a draft copy as prepared by the external accounting firm is reviewed by the cfo for accuracy. Once corrections are made, the final version is distributed to all voting board members via electronic means prior to filing with the irs.

Each director is required to abstain from voting on any matter with respect to which he or she has a conflict of interest. Directors shall report annually all business relationships which each has with gipc. Hgi expects officers and employees to conduct business according to the highest ethical standards of conduct. Officers and employees must disclose any possible conflicts to their direct supervisor or manager, so that hgi may assess and prevent potential conflicts of interest from arising. If an employee has any question whether an action or proposed course of conduct would create a conflict of interest, he or she should immediately contact the hgi/human resources manager. The officers and employees sign an acknowledgement of the handbook, which has a copy of the conflict of interest policy, every two years.

The corporation is a not-for-profit corporation that has been recognized as tax-exempt pursuant to section 501(c)(3) of the internal revenue code. The corporation applies accounting policies that prescribe when to recognize and how to measure the consolidated financial statement effects of income tax positions taken or expected to be taken on its income tax returns. These rules require management to evaluate the likelihood that, upon examination by the relevant taxing jurisdictions, those income tax positions would be sustained. Based on that evaluation, the corporation only recognizes the maximum benefit of each income tax position that is more than 50% likely of being sustained. To the extent that all or a portion of the benefits of an income tax position are not recognized, a liability would be recognized for the unrecognized benefits, along with any interest and penalties that would result from disallowance of the position. Should any such penalties and interest be incurred, they would be recognized as operating expenses. Based on the results of managements evaluation, no liability is recognized in the accompanying consolidated statements of financial position for unrecognized income tax positions. Further, no interest or penalties have been accrued or charged to expense as of september 30, 2024 and september 30, 2023 , or for the periods then ended. The corporations tax returns are subject to possible examination by the taxing authorities. For federal income tax purposes, the tax returns essentially remain open for possible examination for a period of three years after the respective filing deadlines of those returns.
