Form 990, Page 6, Part VI, Line 12C

The conflict of interest policy applies to all directors, officers, and employees. Conflicts of interest must be disclosed as soon as one becomes aware of them and always before any actions involving the potential conflict are taken. A signed, written statement disclosing all the material facts is submitted to the finance committee. A conflict of interest disclosure is filed annually. Directors must file the statement prior to their initial election. After there has been disclosure of a potential conflict and after gathering any relevant information from the concerned director, officer or employee, the finance committee shall determine whether there is a conflict of interest. The director, officer or employee shall not be present for deliberation or vote on the matter and must not attempt to improperly influence the determination of whether a conflict of interest exists. If the finance committee determines that there is a conflict of interest, it shall refer the matter to the board of directors. The board of directors may seek information from the director, officer or employee with the conflict prior to beginning deliberation and reaching a decision on the matter. However, a conflicted person shall not be present during the discussion or vote on the matter and must not attempt to influence improperly the deliberation or vote.
